In a statement, the company says Herman Bosman has been appointed as independent chairman of MTN Group Fintech, with Nicky Newton-King and Nosipho Molope as new independent non-executive directors on the board.
Jens Schulte-Bockum has been appointed as non-executive chairman of Bayobab, MTN’s next-generation services company connecting Africa with digital solutions.
“Building leading fintech and digital infrastructure platforms in Africa is a key part of the Ambition 2025 strategy,” says Ralph Mupita, MTN Group president and CEO.
“These appointments align with the focus on accelerating growth, completing the structural separations and bringing in value-adding strategic partners into the shareholder bases of these businesses over the medium-term.”
Bosman has been appointed as chairman of the MTN Group Fintech board of directors, effective 1 July.
MTN notes he brings a wealth of experience and leadership to the board, having previously served as CEO of Rand Merchant Investment Holdings and RMB Holdings.
He holds BCom and LLM from the University of Johannesburg and is a chartered financial analyst, at AIMR, US.
According to MTN, his understanding of the financial services industry and strategic acumen will be invaluable in guiding its fintech strategy and operations.
Newton-King, who also serves as an independent non-executive director for MTN Group, joins the MTN Group Fintech Board as a member, effective 1 September.
A former CEO of the Johannesburg Stock Exchange, Newton-King brings extensive experience in legal, business, capital markets, banking and regulation, says the company.
Molope joins the MTN Group Fintech board, effective 1 September. MTN notes Molope is experienced in MTN operations, having previously served on operating company boards across several markets, including SA, Cameroon, Uganda and Zambia.
A former CFO of the Financial Services Board in South Africa with extensive board experience with SA-listed companies, Molope will chair the Audit and Risk Committee of the Group Fintech board, MTN adds.
Schulte-Bockum, former MTN Group chief operating officer, has been appointed as chairman of Bayobab, effective 1 September.
According to the telco, Schulte-Bockum brings a wealth of experience and knowledge of digital infrastructure businesses across Europe and Africa. He has been a non-executive director of Bayobab since 2021.

Tiny fragments of synthetic or chemically-modified natural polymers are widespread in the environment
can be easily ingested by living organisms
One reason for this is that these polymers are insoluble in water and are degraded very slowly
They have already been found in drinking water and food
The ubiquitous presence of these polymers raises concerns about their general impact on the environment and
it is important to deliberately reduce the use of microplastics and to switch to alternative materials
Whether and how the EU will take action against the unintentional release of microplastics (e.g
through tyre abrasion) in the future remains uncertain for the time being
the term “microplastics” refers to all solid
and poorly degradable polymer microparticles below 5 mm in all dimensions and fibre-like particles below 15 mm in length
The restriction applies as soon as the polymers constitute at least 1 per cent by weight of the particles or form a continuous coating on particles
The restriction currently refers to microplastics that are intentionally added to products to achieve a certain property
The chipping of old paint or the sanding of primers does not constitute intentional release
The microplastics restriction more or less affects all intentionally added polymer microparticles having the above-mentioned properties
The sale of loose plastic glitter to end consumers has already been restricted since 17 October 2023
Various transitional periods apply to specific uses
mixtures and/or products containing microplastics
These range from 17 October 2027 (microbeads for use as an exfoliation abrasive in cosmetic products) to 17 October 2035 (use in make-up products)
Suppliers of polymer microparticles will have to provide instructions and
additional information to downstream industrial and professional users and consumers from 17 October 2025 on
and industrial downstream users of polymer microparticles must notify certain information to the ECHA annually from 31 May 2026 on
It is not yet clear how and via which portals the notifications have to be submitted
In addition to the exempted uses and legal areas (use in industrial plant
microplastics are exempt from the restriction in the following three situations:
the restriction does not address any specific substances or class of substances
but specifies the dimensions and properties of a very diverse range of synthetic polymers
the substance from which the particles are made is almost irrelevant
The restriction also impacts other areas of law that are partially exempt from the REACH Regulation or where there are additional regulations and directives in force that regulate use
fertilisers and plant protection products (for more information
please refer to the regulations in the respective legal areas)
Even people who otherwise have no points of contact with REACH should take a look at Entry 78 to see if it affects them
they may still be subject to information and declaration obligations
should be to develop products in which the microplastics have been replaced by substances that are less harmful to the environment
Many interesting approaches and real alternatives already exist here
many alternatives may be critical in other ways
shellac is not vegan and the extraction of mica for glitter products is often socially unacceptable
The penalties for breaching the microplastics restriction are governed by the national laws of the EU Member States
which are responsible for enforcing the restriction and sanctioning breaches
The regulation itself does not lay down standardised penalties and fines but leaves it up to the Member States to take appropriate and effective measures
The sanctions may vary with the severity and frequency of the breach and may take the form of fines
The EU Commission will monitor the implementation and effectiveness of the restriction and report on it regularly
Various German associations within the adhesives
and construction industries have published information and guidance on implementing the restriction on synthetic polymer microparticles
These clearly set out the individual obligations and list the different deadlines
Particularly helpful are schemes resembling decision trees that manufacturers
importers and formulators can use as a guide for deciding
whether the particles used meet the criteria for classification as synthetic polymer microparticles

Jens Schulte-Bockum has informed the supervisory board of Vodafone Deutschland of his intention to resign from his position as CEO within the current fiscal year
Schulte-Bockum will continue to head the company in the transition period
The successor will be announced in due course
Schulte-Bockum’s decision follows the release of Vodafone Germany’s figures for the fiscal year 2014/15 which saw a decline in turnover by 3.2% compared with the previous year
The turnover in the core business segment mobile services dropped by 3.5%
He will assume the role currently held by group COO Jens Schulte-Bockum, whose contract ends on 31 March 2024.
Adadevoh’s new designation has been amended to better align with the group’s operating model, and he will join the exco on the effective date and assume all of Schulte-Bockum’s executive responsibilities in a transition process over the next few months, says MTN.
According to the group, the leadership changes are in line with its succession planning to ensure the continued delivery of its Ambition 2025 strategy.
Adadevoh joined MTN in 2018 as CEO of key subsidiary MTN Ghana and brings extensive experience to his new role, it says.
Prior to assuming the role of MTN Ghana CEO, he held key positions within the Digicel Group, including CEO, COO and global director of the mobile financial services firm. Before that, he held various senior positions at telecoms firm Millicom/Tigo in Ghana.
Schulte-Bockum will continue to serve as a non-executive director on the boards of MTN South Africa, MTN Nigeria and Bayobab.
Stephen Blewett has been appointed as the new CEO of MTN Ghana, effective 1 April 2024.
According to the group, Blewett re-joined MTN in July 2023 as operations executive for markets, tasked with the responsibility of taking care of the smaller West and Central Africa (WECA) markets, and providing broader operations support to the senior VP for markets across the overall WECA region.
Prior to Blewett re-joining MTN, he was at Digicel, where he held the position of COO. He previously spent seven years within the group in CEO roles for MTN Benin and then MTN Cameroon.
He currently sits on various boards within the WECA market operating companies, some of which as chairman.

The company says on the Johannesburg Stock Exchange that a group of senior MTN employees have accepted the shares, which have a three-year vesting period, and are subject to performance conditions under the MTN performance share plan.
The share awards to MTN employees come as the MTN Group continues to outperform the market.
In the quarter ended September, the group's service revenue increased by 9% year-on-year to R156 billion, with data revenue increasing by 15.3% and fintech revenue increasing by 20%.
The telecoms provider based in South Africa also reported that group EBITDA increased 2.8% year-on-year, with an EBITDA margin of 42.8% (3Q22: 45.3%). Capex at MTN Group was R43.921 billion in the three-month period under review, up from R38 billion in Q3 2022.
Today, the company said MTN Group president and CEO, starting yesterday, was granted 321 077 shares for R36.9 million.
Tsholofelo Molefe, CFO of MTN Group, received 171 738 shares for R19.7 million.
Jens Schulte-Bockum, MTN Group's chief operational officer, received 212 614 shares worth R24.4 million.
Paul Norman, the head of human resources, received 86 431 shares worth R9. 9 million.
Other recipients include MTN Nigeria CEO Karl Toriola, who earned 108 375 shares for R12.4 million.
MTN SA CEO Charles Molapisi received 144 529 shares for R16.6 million, while MTN Irancell CFO Ferdi Moolman received 98 635 shares worth R11.3 million.
MTN SA CFO Dineo Molefe received 51 174 shares worth R5.8 million.
Mazen Mroue, MTN Group's chief technology and information officer, was also offered 125 249 shares with a total value of R14.4 million.
Thobeka Sange Sishuba Bonoyi, group company secretary, was awarded 32 412 shares worth R3.7 million.
Mateboho Rantofi, Bonoyi's equivalent at MTN SA, received 15 693 shares worth R1.8 million.
MTN Group's senior vice president of markets, Ebenezer Asante, was given 206 556 shares for R23.7 million.
MTN Group today also announced a further allotment of 41 300 shares for Asante, valued at R5.4 million.
"An additional allocation was made to correct an omission in the 2022 performance share plan allocation. Price per share as of 9 December, 2022," the company says.
Jens Schulte-Bockum will assume the position of group COO on 16 January 2017 when Desai retires. MTN says Schulte-Bockum has extensive operational experience in the mobile telecoms sector, with his last senior role being as CEO of Vodafone Germany between 2012 and 2015.

Desai only took up the role of group COO on 1 December 2015 but has spent 15 years at MTN and previously held the positions of CIO at MTN Nigeria and COO of MTN Irancell.
Oliver Fortuin will assume the position of executive head of business enterprise, effective 1 March 2017. He is currently the CEO of BT Global Services Sub Saharan Africa, having previously held many senior roles at IBM, HP and Lenovo.
MTN says as head of BT Global Services he was engaged in the development and sale of enterprise solutions to many multinationals across the African continent and he will greatly enhance the telco's strategy in this area.
MTN also announced that Bernice Samuels has re-joined it as group executive of marketing, effective 1 January 2017. Samuels was previously chief marketing officer in MTN SA, prior to assuming a similar role at FNB. She subsequently assumed the position of executive director of strategy and business development at SABMiller in South Africa.
MTN says Samuels "will greatly assist in lifting and repositioning product development and uplifting the MTN brand to maintain its pre-eminent position in Africa and the Middle East, whilst adapting to a rapidly evolving sector".
