BURSASGXHomeEdge WeeklyBy This article first appeared in The Edge Malaysia Weekly on July 19 STATIONERY producer Pelikan International Corp Bhd is hoping to start a new chapter with the proposed sale of its logistics centre in Falkensee who is also the third largest shareholder of Pelikan professes his confidence in the company’s future post the Covid-19 pandemic He says its performance will continue to hinge on its core market of Germany and other parts of Europe Part of the proceeds from the disposal of the Falkensee logistics centre will be used to develop Pelikan’s product range further as well as to grow new markets noting that its business results have been mixed amid the pandemic “Our core market in Germany and other parts of Europe is performing well Latin America is now beginning to pick [up] we will invest in and expand our product range further and into new markets.” Pelikan announced that it was disposing of its logistics centre in Germany for €81 million (about RM400 million) in cash to wholly-owned subsidiaries of HWE Investor GP Sàrl which is part of the Hillwood Group — a Dallas Based on Pelikan’s audited consolidated financial statements for the financial year ended Dec 31 the disposal is expected to realise an estimated one-off gain of RM184.83 million as Pelikan bought the property in 2010 for about €45 million To ensure the continuity of its operations in Germany Pelikan also entered into a conditional lease agreement with HE4 Falkensee 2 Sàrl — one of the purchasers — for its subsidiary Pelikan Group GmbH (PGG) to remain as a tenant of the property for a five-year period PGG will rent 109,036 sq m of the property comprising office and administrative space; production dispatch and conveyor technology areas; an operating cost prepayment office as well as a high-bay warehouse and box storage The rental property’s annual gross lease fee of €4.15 million (about RM20 million) is payable monthly Pelikan said the proposed disposal will enable the group to unlock capital resources that are being tied up as long-term assets and to realise the value of the property at a fair market value while strengthening its financial position As much as RM200 million will be used to repay its bank borrowings resulting in an annual gross interest saving of RM8 million But why sell the asset when it can refinance its borrowings and take advantage of the current low interest rate environment “We decided to cash out the property because its value has appreciated and the cash would be used to partly [pare] down our debts and for future working capital business expansion and to return to shareholders as dividends,” says Loo the size of the property is surplus to our requirements and we can now focus on our core business which is development and marketing of Pelikan products.” Pelikan expects its gearing ratio to decrease to 0.31 times from 0.86 times in FY2020 the group had RM273.03 million in current borrowings and RM126.43 million in non-current borrowings As rumours started to swirl that the group was selling its European assets the counter jumped 52.78% to 55 sen on July 7 — the highest since Sept 24 2018 — after which it declined as the group is only disposing of its German logistics centre and not its European business the quantum of the special dividend was not stated at the time when the announcement was made to Bursa Malaysia Pelikan’s share price plunged as much as 17.8% to an intraday low of 37.5 sen before recovering slightly Pelikan announced that it has proposed to utilise RM120.64 million of the total proceeds for special dividends This translates into a special dividend of 20 sen per share As at last Wednesday’s closing price of 46 sen per share the special dividends translate into a dividend yield of 43.5% News of the specific allocation for special dividends proved popular as Pelikan’s share price jumped 21.5% to 48 sen per share on July 13 Pelikan’s financial performance has been tepid In the first quarter ended March 31 (1QFY2021) it recorded a higher net loss of RM10.88 million compared with RM8.86 million in the previous corresponding quarter Its operation was cash flow negative to the tune of RM14.18 million in 1QFY2021 Almost all of its markets are registering losses and Germany — its largest market — reported a loss of RM2.54 million Although the company was profitable in the Americas it only eked out a profit of RM1.83 million The Americas is also a rather small market for Pelikan compared with Germany and the rest of Europe It remains to be seen how the disposal of the Falkensee logistics centre will improve the group’s performance Bakhram Murtazaliev (23-0; expect a big payday once the deal to sell its entire stake in Pelikan Group Gmbh (PGG) and other subsidiaries based in Germany for €136 million (RM687 million) is completed which holds 157.19 million shares or a 26.06% stake stands to get RM133.53 million from the proposed 10 sen per share special dividend and 75 sen per share in capital repayment Combined with the 20 sen per share special dividend from the proceeds of the disposal of the logistics centre in Germany back in July 2021 UJSB will be getting a total of RM1.05 per share from its investments in Pelikan over the last five years UJSB had acquired the shares from Lembaga Tabung Haji at RM2.10 each UJSB stands to get a 50% yield on its investments in Pelikan Pelikan announced that it was disposing of its stake in PGG — whose subsidiaries produce and distribute stationery and office products throughout Europe Pelikan says the company and its subsidiaries Pelikan Holding AG (PHAG) and MOLKARI Vermietungsgesellschaft mbH & Co Objekt Falkensee KG and Pelikan PBS-Produktion Verwaltungs-GMBH (PBS) had entered into an agreement with Holdham to dispose of their entire equity interest in PGG This confirms a report by The Edge on April 10 that Pelikan was said to be on the verge of a major asset sale PHAG will also be selling its entire limited partnership interest in Pelikan PBS-Produktionsgesellschaft mbH & Co KG (PPG) and all of its equity interest in PBS to the purchaser for €1 each Holdham will assume the debts of €15.4 million owed by Pelikan to PGG and the €16.38 million owed by PHAG to PPG Pelikan will hold an extraordinary general meeting for shareholders to vote on the disposal and the proposed capital repayment It has to obtain approval from shareholders holding at least 75% of the total issued shares The group says it will use RM182.71 mil­lion of the RM695.44 million as working capital repay bank borrowings and cover estimated expenses from the proposed exercise which it will distribute within six months of the completion of the sale — which will take place no later than Oct 31 2023 — via a special dividend and/or a capital repayment the cash distributed via a special dividend to entitled shareholders will tentatively be 10 sen per share while the cash distributed via the proposed capital repayment will be estimated at 75 sen per share The capital repayment will be implemented through a reduction of its existing share capital and will not result in a cancellation of shares and a change in the number of or proportion of shares held by any shareholder the disposal will enable it to unlock and realise the value of its investment at an attractive valuation and enable its shareholders to also realise their investments The price and assignment of debt represent an implied enterprise value/earnings before interest depreciation and amortisation of 9.63 times and an implied price-earnings ratio of 26.8 times an investment holding company co-founded by Tan Sri Nazir Razak will be one of the biggest winners with Pelikan’s disposal of its stationery business Ikhlas Capital’s cost of investment in Pelikan was only 39 sen per share when it subscribed to the group’s 54.84 million private placement exercise in September 2019 The subscription gave Ikhlas Capital a 9.09% holding in Pelikan after Pelikan disposed of its logistics centre in Germany for €81 million to Texas-based real estate developer Hillwood Group the group declared a 20 sen special dividend Combined with the 85 sen per share in special dividend and capital repayment from the proceeds of the disposal of PGG and its subsidiaries Ikhlas Capital will get a return of 269% over a four-year period Another substantial shareholder is private equity fund manager Brahmal Vasudevan who initially held a 6.66% stake in Pelikan via Auctus Ventures Ltd and Nominees Its average cost of investment in Pelikan is not known as the company emerged as a substantial shareholder in March 2015 and then ceased as one in June 2020 While it hardly comes as a surprise to many that Pelikan would sell its core business its CEO Loo Hooi Keat in July 2021 was confident of starting a new chapter for the group with the stationery business remaining intact Speaking to The Edge about the disposal of the Falkensee logistics centre at the time Loo said part of the proceeds from the disposal would be used to further develop Pelikan’s product range as well as grow new markets The group’s performance has been commendable over the last five years which strengthened the belief that it might hold on to the stationery business Pelikan recorded a profit before tax of RM49 million as opposed to RM23.6 million in the previous year mainly on the back of better operating results of the Americas region and the German plant it is clear that Loo and others on Pelikan’s board of directors think it is better to cash out of the stationery business while it is still profitable Pelikan’s share price has surged 128% year to date and closed at 85.5 sen last Friday for a market value of RM515.7 million.  a primary bilingual school situated in the vicinity of Berlin were earlier this month treated to a Embassy and are given a presentation about the Maltese islands delivered a presentation about the Maltese islands This visit was preceded with the embassy providing information material about Malta and Gozo to the students compile projects about the Maltese islands and prepare for a question and answer session these students start learning English from an early stage the embassy’s visit provided them with a unique opportunity also to prepare and ask questions in English The visit was another success in this overall campaign with the school management requesting the embassy to maintain this event on an annual basis The Embassy is well aware of the positive tourism-related spill-over effect of such visits also within the children’s households students are encouraged to get feedback from
