(TSX – V: EMO; OTCQB: EMOTF; FSE: LLJA) (the “Company” or “Emerita”) has received a written resolution from the Tribunal Superior De Justicia De Andalucia (the “Court”) with respect to one of Emerita’s complaints regarding the administration of the Aznalcóllar public tender (the “Tender”)
Emerita had filed a formal complaint in 2017 (the “Complaint”) with the Court against the Junta de Andalucia (the “Junta”)
the Andalucian government panel that awarded the Tender
requesting that the Court rule that (i) the Junta had committed a “via de hecho” which is an administrative action that completely disregards the legally established procedure or that clearly lacks any possible legal basis; (ii) the acceptance of the mineral rights to the Aznalcóllar project by Minera Los Frailes S.L
an entity that did not participate in the Tender
and (iii) any actions by MLF related to the Aznalcóllar project are a via de hecho
that the Court rule that MLF’s acceptance of the rights to the Aznalcóllar project be null and void
The Court ruled against Emerita’s Complaint finding that a via de hecho had not occurred on a technical basis
Emerita may appeal this decision by the Court in the future but for now is focused on the ongoing Aznalcóllar criminal trial and the associated Administrative Case (please see below)
acknowledged that MLF accepted the rights to the Aznalcóllar project without ever participating in the Tender
This is one of the many irregularities in the Tender and a relevant and important point that is being considered in the ongoing Aznalcóllar criminal trial
This Complaint is distinct from Emerita’s other and more significant administrative case regarding the various alleged irregularities by the Junta in adjudicating the Tender which the Company initiated in 2015 (the “Administrative Case”)
The Court has previously determined that the facts in the criminal case and the Administrative Case are substantially similar and has decided to suspend issuing its resolution on the Administrative Case pending the outcome of the criminal trial
This is expected to make available for the Court all of the evidence and testimony from the Aznalcóllar criminal trial (please see the Company’s press release dated May 2

The Aznalcóllar mining court case in Spain centers on allegations of corruption during the awarding of the public tender for the Aznalcóllar mine redevelopment
was previously operational until a tailings dam failure in 1998 led to its closure
the Spanish government initiated a tender process to reopen the mine
including Emerita Resources and a consortium comprising Minorbis and Grupo México
Emerita Resources contended that the tender process was marred by irregularities and potential corruption
particularly favoring the Minorbis-Grupo México consortium despite their bid allegedly not meeting all required criteria
Emerita alleged representatives of the consortium had bragged to them that they had it locked in
and suggested EMO should work with the syndicate if it didn’t want to be left behind
This led to legal challenges aiming to address these concerns and ensure a fair tendering process that
have been shown to have enough merit to bring charges.

The IBW Project spans approximately 12 kilometers and is accessible via paved and all-weather gravel roads
Emerita announced an updated NI 43-101 compliant mineral resource estimate for the IBW Project
reporting a combined 18.96 million tonnes (Mt) in the Indicated category at 8.44% ZnEq and 6.80 Mt in the Inferred category at 8.72% ZnEq
This update reflects a 35% increase in Total Indicated Mineral Resource tonnage and a 44% increase in Total Inferred Mineral Resource tonnage compared to the 2023 estimate
The project hosts three primary deposits: La Romanera
all of which remain open for further exploration and expansion
The IBW is a large mineral exploration area about 12 km long
in one of the most famous mining regions in Europe – the Iberian Pyrite Belt
This area is known for producing metals like zinc
There are three main zones of mineralization at IBW:
La Romanera – the largest and most promising
where most of the drilling has been focused
La Infanta – a high-grade zone that was partially mined decades ago
El Cura – a newer discovery with encouraging early drill results
19 million tonnes of rock with valuable metal content in the “Indicated” category (which means fairly well-defined)
Another 7 million tonnes in the “Inferred” category (less certain
which are used in everything from construction to electronics
These findings suggest the IBW Project could become a significant mine in the future
especially since the mineralized zones are still open – meaning more drilling could lead to even bigger discoveries
According to a December 30 report by Varun Arora of Clarus Securities, Emerita Resources Corp.’s recent metallurgical advancements significantly improved the economic potential of IBW

Let’s assume Emerita gets nothing out of the courtroom
the case crumbles and EMO is forced to make do with the IBW
and the company has been actively progressing the IBW in the ASSUMPTION that it will be their primary project going forward
the valuation of the company as things stand is justified based on the IBW alone
the Nuevo Tintillo Project covers an area of 6,875 hectares along an east-west axis of approximately 25 kilometers
Situated between the world-class deposits of Aznalcóllar to the southeast and Rio Tinto to the northwest
the area has a rich history of mining dating back to the 19th century
including surface sampling that identified gold-bearing rocks exposed at the surface
with grab samples returning up to 2.04 g/t Au and 165 g/t Ag
a pilot drill hole intercepted mineralized horizons
indicating potential for further exploration
which means it’s an early-stage exploration – they started from scratch
and they haven’t been let down so far
Surface sampling – collecting rocks at the surface to test for metal content
Drilling – early drilling has shown signs of mineralization (metals in the rock)
Rock samples with gold (up to 2 grams per tonne) and silver (up to 165 grams per tonne)
The fact that Emerita is finding precious metals at surface level
suggests this could be a valuable new discovery
but the signs are promising – and the location is ideal
Emerita has been granted the Ontario exploration permit
which hosts several historic producing mines
Reconnaissance and preliminary evaluations have included sampling at historic waste dumps
with results confirming significant copper mineralization
samples from the San Jose mine area assayed up to 13.2% Cu
indicating the potential for additional exploration within this license area
This project is located right next to Emerita’s main project (IBW) in southern Spain — despite the name “Ontario,” it has nothing to do with Canada
The “Ontario Property” is actually a permit area near the town of Paymogo
where there were historic mines that used to produce copper
They’ve been granted an exploration permit to check out this area more thoroughly
they’ve done some early testing on old mine waste piles (called “waste dumps”) to see if there’s still metal left behind
Very high-grade copper in some samples — up to 13.2% copper
These findings suggest the area may still have untapped mineral potential
It’s a low-risk exploration: there’s already proof that mining happened here before
so Emerita’s just trying to see how much good material is still left
It’s also right next to their big IBW Project
which makes it easier and more efficient to explore and develop together

Minorbis TOLD Emerita that they had corrupted the process while it was still going

when a representative of Minorbis approached Emerita’s team with a bold proposition: to merge both projects to ensure a joint win in the tender
It is alleged that to back up his claims of insider influence
the representative declared that they held sway over key decision-makers
The claim was immediately followed by a prediction that the Secretary General of the Ministry of Innovation would contact Emerita’s team within minutes
a call occurred confirming the representative’s claims of insider coordination
acknowledged by the Secretary General of the Ministry of Innovation in subsequent legal proceedings
suggests a deeply embedded network of corruption that bypassed the established tender protocols and tilted the playing field
made directly from the Ministry to Emerita’s representative
indicates more than just insider information—it suggests direct interference aimed at coercing Emerita into accepting a rigged process
there’s no chance EMO loses this case
But that’s not their only lottery ticket
the company has been busy building out other projects – successfully

will resume operations 17 years after a tailings dam burst
dumping five million cubic metres of toxic sludge into the Guadiamar river
The spill narrowly avoided one of Europe’s most important wetlands and led to a €240m (£178m) cleanup operation
The Andalucían regional government claims reopening the mine will create 450 jobs in an area with one of the highest unemployment rates in Spain
But conservationists argue that environmental considerations have been ignored in the rush to make an announcement ahead of next month’s regional elections
The contract has been awarded to a consortium headed by Grupo México, a company which was forced to pay $150m (£98m) in cleanup fees following an accident at its Buenavista mine in Mexico’s northwest Sonora state
Around 22,000 people were left without clean water after 42 million litres of sulphuric acid contaminated a 100-mile (160km) stretch of the Sonora river
Spanish officials insist that Grupo México has guaranteed its Aznalcóllar mining activities will not affect protected zones and that the area will eventually be restored to its original state
The construction of a new tailings dam and the accumulation of toxic residue will also be prohibited

According to Spanish law only companies that are part of the tender process can accept such a resolution
In reference to the technical proposal for the project development presented in Phase 2 of the tender process
there were numerous inconsistencies among the statements given by the imputed people when asked about technical aspects of the proposal
in particular with regards to the proposed water management plan
the Minorbis proposal contemplated discharging 4.97 million cubic meters of water per year during the first three year pre-operational period and 2.63 million cubic meters per year once in production into the river system
yet the panel concluded that it was a "closed system" when evaluating the technical merits
The "Confederacion Hidrografica del Guadalquivir ("CHG") (the national bureau responsible for the water in the region) allows a discharge of water to the river of 0.75 million cubic meters per year
the water plan proposed by Minorbis is significantly beyond the CHG limits
Emerita worked directly with CHG in developing a water management plan for the project that was endorsed in a letter from CHG as part of the Emerita technical submission
the Minorbis bid was given higher points than Emerita's by the panel for its mining proposal
yet Minorbis proposed collaring its underground access in the south wall of the existing open pit in an area where numerous geothechnical reports that were provided to the tender participants by the Junta through access to the data room
indicated very weak ground conditions related to the major fault zone in that area
collaring in this area would result in significant safety risks to the miners and as such Emerita presented an alternative approach that avoids the south wall
during 1996 and 1997 when the open pit mine was active

There have been two appeals heard in the case already and these have been systematically denied by the Superior Court which has been consistent in its rulings throughout the process; that is they have ruled consistently that there is the existence of criminal acts
The final step in the judicial process will be to turn the case over to a judge that will apportion the crime or crimes to the accused individuals and determine the sentences
this part of the legal process is relatively brief as it is based on the existing evidence and does not require further lengthy investigations

The Aznalcóllar project is a past producing property within the famous Iberian Pyrite Belt that hosted the Aznalcóllar and Los Frailes open pit zinc-lead-silver mines The focus of the project is re-development of the Los Frailes deposit which was developed in the mid 1990s
The historical open pit mineral resource as calculated by the previous operator of the mine was estimated to be 71 million tonnes grading 3.86% zinc
0.34% copper and 60 ppm silver (see Figure 1)
Reports by the operation’s mine department and a review of the diamond drilling data for the mine indicate the existence of a higher grade portion of the resource that is estimated to contain 20 million tonnes grading 6.66% zinc
The Aznalcóllar and Los Frailes deposits are open for further expansion by drilling at depth
as historical drilling was primarily constrained to depths accessible by open pit mining
A qualified person as defined in National Instrument 43-101 has not done sufficient work on behalf of Emerita to classify the historical estimate reported above as current mineral resources or mineral reserves and Emerita is not treating the historical estimate as current mineral resources or mineral reserves

The reopening of a controversial Spanish mine has been halted amid allegations of corruption during the bidding process
Los Frailes mine in Aznalcóllar, near Seville, which has an estimated 80m tonnes of extractable ore, containing copper, zinc and lead, was due to resume operations later this year for the first time since 1998. But the plan has been put on hold after a judicial investigation found evidence of serious irregularities.
Announcing the decision, Andalucía president Susana Díaz, said: “When a judge has serious suspicions about the procedure for awarding a contract, it must be halted and clarified.”
The contract was awarded to the Grupo México-Minorbis consortium in February following a three-way contest. But a probe was launched in March after a rival bidder filed a complaint in the courts accusing Grupo México of conducting illegal negotiations.

Failure to Consider the Technical Merits of the Tender Bids
The judges concluded that the Panel had failed to consider the technical details of the tender bids
the Panel did not consider that Emerita’s bid contemplated double the investment compared to Minorbis-Grupo Mexico’s bid
