But that's – literally – only half of the story
"Bring water," they said when I announced I'd be hiking the Sentiero dei Fortini (Trail of Little Forts)
"There's nothing out there."
The six-kilometre cliffside path linking the remains of three 19th-Century Bourbon military outposts was my fourth hike on this craggy Mediterranean island
wild rosemary-flocked path while dodging spiky prickly pears
I realised that I'd only seen one other human in two hours
aside from a rustic fountain I'd encountered a kilometre back at Fort Mèsola
I'd already got lost twice before noting that the ceramic path markers were low to the ground
cataloguing the area's flora and fauna – fig trees and wildflowers
The terrain faded from wilderness to sheer crags
I could see straight down to the sea; a 30m death drop
The islands of Ischia and Procida loomed in the Gulf of Naples like the humps of petrified sea monsters
And I was completely alone at the island's edge; triumphant
Typically, the word Capri conjures up bougainvillea-draped villas and luxury boutique-lined streets; a yacht dock for the glitterati and the perpetual artists' muse. Paul Feig's Another Simple Favor
is the latest film set against the island's opulent hotel culture and majestic cliffs
and is sure to inspire a fresh slew of Capri travel dreams
glamour is – literally – only half of the story
The camel-humped Capri – one of Italy's three volcanic Phlegrean islands – is actually home to two distinct towns
At the eastern end lies the princess Capri Town where loafer-wearing VIPs sip espresso in Piazza Umberto I; the faraglioni sea stacks winking in the distance
And at Capri's western end is her rugged little sister
the township of Anacapri; a sea cliff and prickly pear paradise where hiking boots replace stilettos and wild outdoorsy adventures trump wild nightlife
But while Capri sees as many as 16,000 visitors a day – outnumbering the 12,900 full-time residents – the majority only visit Capri Town
"There's two main reasons for this," surmises Camilla Formisano, copyeditor at Caprionline
Seventy to 80% of visitors arrive on organised excursions from Naples
Formisano also believes that social media plays a part: "People see the faraglioni and the piazza and think
Social media has condensed the island into a single postcard."
visitors spill out from the ferry and throng the bus and funicular ticket booths to jockey for place in Piazza Umberto I
dodging motorised luggage carts and women in Instagrammable sundresses at every turn
it's just a 15-minute bus ride to Anacapri
where respite from Capri Town's day-tripper crowds and inflated prices await
and you'll find the island's heart."

• Aumm Aumm Family-friendly restaurant serving excellent Neapolitan-style pizza
• Il Riccio Sea Lounge Jumeirah Capri Palace's luxe beach restaurant at the Blue Grotto
• Ristorante La Zagara Restaurant inside a lemon grove
The neighbouring vinoteca offers gourmet aperitivi
Anacapri is crisscrossed by stone-walled paths that yield to sudden sea views; perfumed in springtime by blooming orange trees
The terrain is hilly; locals zip by me on scooters and dusty motorised three-wheeled buggies
One wrong turn and I find myself either wheezing up a steep incline or at the cliff's edge
But Punta Carena is best known for its sunsets
"It's the only place on Capri where the sun sets into the sea," says Formisano
"Thanks to Capri's particular shape
casting a golden light that envelops the landscape."
It was Formisano who first directed me to the Trail of Little Forts
If starting the Trail of Little Forts from the Blue Grotto
take the Anacapri-Grotta Azzurra bus from Piazza della Pace until the Orrico stop
then head to the Piazzetta di Orrico to start the trail
Allow approximately three hours to complete
The medium-difficulty trail runs along Anacapri's western coast between the Blue Grotto and Punta Carena
It's possible to start the trail at either end
but most trekkers begin at the Blue Grotto
"So you can walk calmly immersed in nature
have a swim in Mèsola cove and get to the lighthouse by afternoon; just in time to enjoy an aperitif and the magnificent spectacle of the sunset over the sea," says Formisano
Piazza della Pace is the origin point for two other brilliant Anacapri hikes; the Migliera trail and Mount Solaro
"The Migliera is a narrow road winding through the countryside," says Formisano
"You'll come to a dramatic cliff overlook
Climb the ridge to the left; you'll get a really unique view of the faraglioni."
the view from Mount Solaro – Capri's highest point – is arguably the island's most famous
The 13-minute chairlift up the 589m mountain provides unforgettable views of terraced vineyards with the Amalfi Coast winking in the distance
Summit Mount Solaro on foot by following Via Axel Munthe to Via Salita per il Solaro
keeping an eye out for stray mountain goats
For any Anacapri hike, wear trail shoes; not your new Capri leather sandals. Before setting off, "stop at De Martino in Piazza Capri for an excellent panino"
Most people reach Anacapri by bus, but if you're fit, consider tackling the 1.7km Scala Fenicia
a 921-step flight of stone stairs chiselled into the cliffs by the Ancient Greeks; allowing countless generations of hardy Capresi to travel between Capri and Anacapri
"It's not for everyone," admits Pep Minichino, founder of the Gulf of Naples-based blog, Campanica
he encourages visitors to "embrace the experience
All you need is a Led Zeppelin anthem [in your head] for the energy to climb the famous zig-zag staircase."
the residence of the early 20th-Century Swedish physician and author Axel Munthe
The sprawling mansion – built over Roman ruins
featuring grand sitting rooms and Neoclassical gardens – is Anacapri's most touristed museum
and my heart rate thunders as I bypass the tourist hordes at Marina Grande to undertake the trek
"La Scala Fenicia is also open at night
so you can go down step by step," says Minichino
Aided in your descent by a cascade of lights and stars."
Anacapri's most visited attraction is the Blue Grotto (Grotta Azzurra)
famed for its magical blue phosphorescence
Chaotic overtourism has engulfed this natural phenomenon
and I am overwhelmed by the massive queue and dozens of tourist-packed boats bobbing outside the grotto
and I am comforted as the boat captain's serenade of O Sole Mio echoes through the cave
Formisano's hack: "The best way to visit the Blue Grotto is to be on the entrance steps at 09:00
not by sea from Marina Grande," she says
"This way you'll be first in line
You won't have to wait your turn on a rocking boat."
But to truly enjoy the seas of Anacapri, Formisano suggests doing as the Capresi do: "Going down to the Blue Grotto, follow the signs for "gradola" to reach a small terrace overlooking the sea with an excellent restaurant
a place frequented almost exclusively by locals."
"After a day of outdoor activities in Anacapri
the best way to relax is to immerse yourself in the town's authentic
My B&B, Giardino dell'Arte
is no sumptuous 19th-Century Capri Town palazzo
but my tidy room is floored with blue and white ceramic tiles
and orange blossoms spill over the wooden door
The courtyard overlooks a garden and the innkeeper offers me homemade ravioli alla Caprese; round ravioli stuffed with ricotta and herbs
Strolling deeper into the Boffe quarter, I come upon La Casa Rossa
a bright red mansion built by the American colonel John Clay MacKowen in the early 20th Century; a quirky blend of architectural styles ranging from medieval to Middle Eastern
There are generational bakeries in leaf-shaded alleys where I buy fistfuls of sour cherry pastries and pizzette
But the neighbourhood stunner is the Chiesa Monumentale di San Michele Arcangelo
a petite Baroque church with a show-stopping majolica floor in ochres and blues depicting the Fall of Eden
The tiles can only be viewed from strategically positioned wooden boards or from the balcony above
lions and hooved Biblical beasts leer up at me
It's my favourite view island… until the rooftops
a palatial structure dating to 1850 whose clifftop terrace seems to extend into the sea
and wind up on their rooftop bars as the sun sinks pink and purple into the Gulf of Naples
throwing Ischia and Procida into bas relief
crossing my dusty ankles in their hiking boots; princess and athlete all at once

Zoë Kravitz wore cropped leggings and a windbreaker in NYC on May 1—a near-carbon copy of Hailey Bieber's Miu Miu look from the exact same day
The fashion cross-over I didn't know I needed
Each of their respective aesthetics is so different
the changes of a cross-over seem slim to none
fashion's resident cool-girl was stepping out in a capri-forward outfit of her own
charcoal pair (in contrast to Bieber's navy cropped slacks)
She paired them with a coordinating Heather gray T-shirt
Noir additions included: leather flats, a bucket hat, and a cropped windbreaker of her own. Kravtiz, likewise, completed her Thursday look with a pair of '90s-inspired oval sunglasses—same as Hailey Bieber
Bieber's was polished and designer-focussed
while Kravitz exemplified her trademark grungy-chic style
It was truly the fashion cross-over I never knew I needed

But with so many Capri Sun flavors now on store shelves
you may be at a loss when it comes to picking the best flavors available
That's why I've tasted 10 Capri Sun flavors to give you the 411 on which flavors are worth packing in a lunch box and which are better left behind
paying special attention to the overall flavor and concentration of the drinks
and have compiled this list to help guide you in the right direction for your next Capri Sun purchase
you have to taste these flavors yourself to see what you like best
this ranking will give you a good place to start
And it's not just the artificial sweeteners that are a problem here
That strawberry kiwi flavoring is an assault on the senses
It tastes nothing like an actual kiwi and instead offers a green flavor that clashes with the notes of artificial strawberry
it tastes deeply offensive and like nothing at the same time
This is absolutely not a Capri Sun flavor I would ever recommend
less watered-down version of the Roarin' Waters flavor of this Capri Sun beverage
the strawberry kiwi doesn't impress either
it's definitely a step up from the flavored water hellscape of the previous product
Since it contains some actual juice from concentrate along with what tastes like a larger quantity of actual sugar
there's some flavor there that doesn't feel like a shadow of actual fruit
Capri Sun tastes thinner and less pronounced than most actual fruit juices out there
the strawberry kiwi flavor here isn't much better than the Roarin' Waters version
providing only a strange distraction from the otherwise mild berry flavor present in the drink
Unless you really love artificial kiwi flavor specifically (and really
this is a flavor you'll probably want to skip
more water-adjacent beverage is a good one in theory
That's unfortunately the reality when it comes to Capri Sun's Roarin' Waters fruit punch
I wanted this stuff to be good — I really did
I realized it just tasted like poorly flavored water
This drink would probably taste better without that added sweetness if it just chose to embrace that fruity flavor without adding the stevia leaf extract
This product is another instance in which the original version of the flavor is better than the Roarin' Waters interaction of the beverage — but just slightly
one of the least appealing flavors of the bunch
That comes as a shock considering that it should just be a rather innocuous blend of different fruit flavors
But you can't really pick out any flavors specifically
fruity note that just doesn't hit the spot
The picture on the front of the package highlights apples
but the most you'll really be able to pick up on is cherry
When it comes to fruity products that don't actually contain a lot of fruit
fruit punch generally seems like a pretty safe flavor to go with
it's not a flavor I'd ever go back for again
For those who are looking for a mixture of fruit flavors but tend toward the more tropical end of the spectrum
Capri Sun's Roarin' Waters tropical punch seems like a solid go-to flavor
Does it taste like punch made with actual tropical fruits
it is a step up from the regular Fruit Punch
There's actually quite a bit of lime flavor here
which helps cut through the sweetness in the drink and balances the flavor relatively well
you'll just get a general sense of fruitiness in each sip
I wouldn't say that Capri Sun's Roarin' Waters tropical punch is anything special in terms of packaged beverages
although there are better Capri Sun flavors for you to seek out before this one
Most of the Roarin' Waters selections from Capri Sun are
which is an artificial grape lover's dream come true
this flavored water beverage tastes nothing like actual grapes
there's a good chance you'll love this flavor
Because it's not supposed to be a mixture of a ton of fruity flavors
which isn't overshadowed by any other competing flavors
That being said, considering that this beverage is more of a flavored water than a fruit juice, the flavor is quite thin and flat without the sweetness you might expect from a traditional Capri Sun. Honestly, I think grape soda is absolutely better than this stuff, but if you're a serious grape fan and looking for an option that arguably has less sugar than a standard soda
this might just be the replacement for you
I love it when a food product has a name like Capri Sun's Pacific Cooler because it gives me absolutely no idea of what it's actually going to taste like before I take a sip
it's safe to say that this is one of the better options in the lineup
you're getting a bold mix of flavors in this variety of Capri Sun
although I'd say that it leans toward the apple end of the spectrum more than anything
which appears to play a role in many of the flavors on this list
is likely providing a bulk of the drink's understated but enjoyable flavor
This beverage is a standard fruity drink that definitely doesn't taste like freshly squeezed juice but is nonetheless more enjoyable than many of the other selections on this list
The flavor is more concentrated than some of the other flavors I've covered
and it doesn't taste quite as thin or lifeless as the previously mentioned options
When the brand tries to blend a ton of unrelated flavors together
But when you choose Capri Sun's Mountain Cooler
you're getting a more streamlined flavor profile that works better than most of the others on this list
It's meant to highlight apple and red raspberry flavors
Since you don't have a ton of other flavors competing for the spotlight
you can really taste that red raspberry note (as artificial as it might taste) quite clearly
this beverage is basically just glorified apple juice
Although it does contain "natural flavors" (which is ostensibly where the raspberry note comes from)
the only juice from concentrate it contains is apple
and without a ton of other ingredients to muck it up
the result is a beverage that's decent — if not actively delicious
I generally don't keep Capri Sun on hand in my fridge
but this is a flavor I'd consider if I ever got a random craving for it
Considering the fact that the other fruit punch Capri Sun varieties just absolutely did not hit the spot
I was surprised that I enjoyed the 100% juice fruit punch flavor so much
don't assume that you're actually getting a super fresh fruit punch here — all of these juices are from concentrate
the flavor in this drink is so much bolder than most of the other varieties I tried
all — from concentrate — make for a fruity beverage that's streamlined in flavor enough that you can pick out the different elements but interesting enough to keep you going back for another sip
The flavor of this beverage is so much more concentrated than any of the others on this list
with a pronounced sweetness that you would expect from an actual juice beverage
leaving you with the impression that you're getting a more substantial drink all around
It's definitely one of the better options on this list if you're not too concerned about your sugar intake
I've already mentioned how the flavors in some of the more complex Capri Sun fruit blends get so muddled that you can't make out any one of them individually
that Capri Sun lemonade would be one of the better options of the bunch since you can actually focus on just one flavor
I was pleased to realize that the assumption was correct
This stuff actually just tastes like lemonade
Albeit it's not the freshest lemonade I've ever had
and it certainly doesn't taste hand-squeezed by any stretch of the imagination
but you do get a nice balance of sweetness and sourness that all comes together beautifully in that iconic pouch
Yes, you can make a better classic lemonade at home, but if you're packing a lunch box or just want a quick drink to grab on the go, Capri Sun's lemonade is definitely worth checking out. As it turns out, when it comes to Capri Sun flavors, simplicity really is key.
I selected these Capri Sun flavors based on availability at my local grocery store. The criteria for this ranking were both concentration of flavor and also flavor more generally. I tried each beverage chilled and at room temperature, taking sips of water in between each taste to ensure a clean palate.

Sucking a packet of Capri Sun dry through a tiny straw is part of many core memories for a lot of us. Not only is it a nostalgic taste of childhood for adults, but the brand continues to crank out its tried-and-true juice packets for the latest generations. As it continues to add more varieties, we tasted and ranked 10 Capri Sun flavors to see how the newer creations compare
While many Capri Sun flavors were big hits
the worst flavor is undoubtedly the Roarin' Waters Strawberry Kiwi
The Roarin' Waters series from Capri Sun is marketed as a healthier
hydrating alternative to the original core flavors
supplying kids with familiar fruity flavors at half the sugar and only 30 calories per packet
the taste of the Roarin' Waters Strawberry Kiwi isn't just bland but also artificial
We based our ranking on the concentration of flavor as well as the accuracy of flavor
While we had no illusions about the artificial recreation of the fruit in question
this Capri Sun flavor didn't taste like kiwi at all
The superficial fruit flavor wasn't just inaccurate
but the concentration of flavor was weak at best
almost imperceptible mystery fruit combined with the fake taste of the non-sugar sweeteners was an affront to our senses
This is certainly a Capri Sun packet not worth a second sip
We weren't the only ones offended by the Roarin' Waters Strawberry Kiwi flavor
Numerous 1- and 2-star reviews from Walmart and Influenster backed up our claims
Many users compared the Roarin' Waters Strawberry Kiwi to a watered-down version of the original
Considering the juice packet itself states that it is "flavored water," customers were still disappointed in just how watery it was
While the attempt to lower the calories and sugars in the Roarin' Waters line of products is applauded in positive reviews of the product, Capri Sun should find a way to intensify the fruity flavors, which many (including us) found to be fake and disappointing. Although the zero-calorie sweetener used in Roarin' Waters is stevia
many customers complained of a bitter and cloying "aspartame" aftertaste
Most reviews stated that their kids won't drink them due to their bland flavor
But adults looking for a low-sugar drink assert that even a 50% reduction in sugars is still too much
There are plenty of other flavored water brands that not only taste better, but also have extra nutrients. We loved the Organic Treo nutrient-enhanced water in strawberry flavor
If you're set on Capri Sun's Roarin' Waters flavors
the grape-flavored Roarin' Waters made it to our top 5

Prada Group has acquired the storied Italian fashion house from Capri Holdings
“We are delighted to welcome Versace to the Prada Group and to build a new chapter for a brand with which we share a strong commitment to creativity
craftsmanship and heritage,” Prada Group chairman and executive director Patrizio Bertelli said in a statement
“We aim to continue Versace’s legacy celebrating and re-interpreting its bold and timeless aesthetic; at the same time
reinforced by years of ongoing investments and rooted in longstanding relationships
Our organisation is ready and well positioned to write a new page in Versace’s history
drawing on the Group’s values while continuing to execute with confidence and rigorous focus.”
The company is still searching for a buyer for Jimmy Choo
Michael Kors Holdings — acquired Versace in January 2019 for over $2.1 billion
Vitale joined from Prada sister brand Miu Miu
where he worked from 2010 and most recently served as design director of ready-to-wear and head of image before leaving the post in January
His years with Miu Miu position the designer well under the newly Prada-owned brand
Reports first surfaced in January that Capri enlisted Barclays to help it secure a buyer for both Versace and Jimmy Choo
other players including ex-Gucci CEO Marco Bizzarri and Primavera Capital Group were said to have signalled interest in the opportunity to own Versace
It’s rare that a storied fashion house like Versace goes up for sale
and both interest in the opportunity and speculation around where Versace would land were high
As Capri and Versace part ways, a turnaround effort begins for Prada. Sales at Capri have decreased over the years
with Versace revenue dropping 15 per cent to $193 million in the third quarter of fiscal 2025

The revival of the Capri name might have proved controversial, but there's nothing to get hot-under-the-collar about with the price. We've spotted the electric coupe-SUV being offered for less than £235 a month right now
Lease deals on the new Ford Capri just keep getting cheaper and cheaper, and this one, from Carparison via the Auto Express Find a Car service
A reasonable £3,107.76 is required as an initial payment
but this can be bumped up to 8,000 for an extra £21.20 a month should you need more flexibility
It's the lesser of the two specs available (an even cheaper Style is due soon) but it's still feature-packed
a 12-way electrically adjustable driver's seat with memory and a massage function
and a portrait-shaped 14.6-inch touchscreen
this deal also throws in metallic paint for free
without a hint of the retro design you might expect
The dashboard is carried over in its entirely from the Explorer electric SUV
so you can expect a quality feel and simple-to-use touchscreen
Despite that sloping roofline room in the back passenger space is generous
and there's a sizeable 572-litre boot
Powering the Capri is a 282bhp electric motor that sends its juice to the rear wheels
It's a sprightly car with 0-62mph taking a very brisk 6.4 seconds
and the Capri has a more dynamic feel than the Volkswagen ID models it shares so much componentry with
stands at a claimed 389 miles; in our testing that equates to around 250 in the winter and over 300 in the summer

Michael Kors and Jimmy Choo led to a company-wide revenue decline of more than 11% in the third quarter of fiscal 2025
This was Capri’s first earnings report since the company’s proposed merger with Tapestry was terminated following a successful challenge by the FTC
said the revenue decline outpaced the larger market and signified that Capri’s brands were losing traction with many shoppers
“While it is certainly true that there are challenges in wholesale and that the luxury market is softer
these factors do not explain Capri’s chronic inability to stabilize its sales line,” Saunders said in emailed comments
He added that the company’s December sales had been especially underwhelming
“Carrying on its well-established trend of significant underperformance
Capri had a miserable holiday season,” Saunders said
noting that the “eyewatering net loss of just over half a billion dollars” underlined “the fact that Capri has simply not been a good steward of the brands that make up the group.”
These problems were going to fall on Tapestry
Capri’s management will need “to stop treading water and start fixing the issues so that they can get back into growth,” Saunders said
Michael Kors posted Q3 declines in every region
Versace’s regional double-digit declines were most significant in the Americas
“Overall our business remained challenged during the quarter and we were disappointed with our results,” John D
“We are reevaluating our strategic initiatives to improve current sales trends.”
In its first forward-looking guidance statement since the now-scuttled merger with Tapestry was announced, Capri Holdings projected a fiscal 2025 revenue of about $4.4 billion, and a fiscal 2026 revenue of about $4.1 billion, down from $5.2 billion in fiscal 2024
The company also projected revenue declines at each of its brands for the next two fiscal years
Versace is expected to drop to $810 million in 2025, and $800 million in 2026, down from $1.03 billion in 2024
Jimmy Choo is projected to see smaller declines
with predictions forecasting a drop to $600 million in 2025 and $550 million in 2026
Michael Kors is projected to drop to $3 billion in 2025
Idol said he was optimistic about Capri’s future and confident about its long-term potential
we expect our performance to improve throughout fiscal year 2026 positioning us to return to growth in fiscal 2027 and beyond,” he said
Saunders said the company will need to change direction
shuffle its management suite and stabilize its brands even if it wants to entertain another sale or merger offer down the road
“Last year was a period of hiatus for Capri,” he said
“The company used the excuse of the deal with Tapestry for its inertia
and the company needs to do the heavy lifting of reinvention
and the forecast that growth will not resume until fiscal year 2027 is a signal that much of the work has not yet even started.”

However, the company is currently struggling to recover following the termination of a proposed merger with rival firm Tapestry. In February, Capri posted its first earnings since the deal fell through
noting a year-over-year revenue decline of 11.6% to $1.3 billion for the third quarter of fiscal 2025
Revenue for the period fell for every brand
with the biggest decline coming from Versace
In its statement announcing Edwards’ departure
Idol said Capri has “highly capable financial and operational organizations with seasoned executives to ensure continuity and stability during this transition.”
Idol added that he was optimistic about the company’s outlook, and pointed to its February investor day revenue forecast, which projected as much as $6.3 billion in long term annual revenue
“We remain confident in the initiatives shared at our recent Investor Day and continue to believe we have the right strategies underway to return Capri Holdings to growth,” he said in Tuesday’s statement
Edwards’ departure may be a sign that Capri is planning to sell off some of its brands
Siegel said that Edwards joined Capri seemingly “with the intention of buying brands to build the Global Fashion Luxury Group platform
rather than sell them.” He added that if Capri “is now hypothetically shrinking the portfolio
that may not be the prospect he signed up for and could therefore be looking for another opportunity.”
As the fashion industry faces tariff pressures and a consumer spending pullback, designer shifts could offer new visions but risk alienating loyal customers.
Once the transaction is closed, Mytheresa will operate under a new name.

While pouches may work for the time around the pool or watching TV at home
bottles are less prone to spilling and expand the number of occasions when people could consume Capri Sun
Another major difference between the bottle and the pouch is size
The bigger size will further address on-the-go consumption since consumers often aren’t conveniently located near a place to buy a beverage or have the time to stop
because they prefer bottles when their kids are drinking on the go
The bottles will be available in the brand's most popular flavors: Fruit Punch
“The launch of Capri Sun Bottles underscores our commitment to innovation by introducing a new format that meets the evolving needs of today’s families on the go,” Kristina Hannant
“This reflects our strategy to meet our consumers where they are while bringing the same taste and quality they love.”

An Italian restaurant in Boardman that has served the Mahoning Valley for nearly three decades will be closing its doors permanently at the end of June.
According to a press release, the Quaranta family has made the decision to close Caffe Capri Italian Bar & Grille on Market Street in Boardman with the property being sold to #1 Cochran.
The restaurant has been serving customers since 1996.
Ron Quaranta Jr. says the family is thankful for what has been built over the years, but following challenges brought by the COVID-19 Pandemic and other factors, it was time to say goodbye.
"It's a bittersweet moment, but we are so incredibly proud of everything we've accomplished and the relationships we've built along the way," Quaranta said
Caffe Capri will remain open until the end of June with gift cards still being eligible for use.
Quaranta says this is not the end for the Quaranta family and teased something new coming in the future.
"Thank you for the memories, for being a part of our story and for becoming part of our family. While we are closing this chapter, it's not the end - just the beginning of something new. We can't wait to share what's next," Quaranta said.

and a number of their top executives are facing a securities class action lawsuit following the implosion of their proposed $8.5 billion merger
Capri shareholder David Hurwitz alleges that the companies misled shareholders regarding the regulatory risks at play in the deal and its chance of passing regulatory muster
and their execs intentionally concealed material information about the obvious antitrust risks that could stand in the way of the merger
A Bit of Background: The ongoing lawsuit stems from Tapestry’s failed bid to acquire Capri Holdings, a move intended to consolidate a significant share of the so-called “accessible luxury” handbag market. The acquisition, which was first announced in August 2023
was touted by both companies as an opportunity to create an American fashion conglomerate that would situate the Coach
and Jimmy Choo brands under one ownership umbrella
and their executives (the “defendants”) intentionally concealed material information about the obvious antitrust risks that could stand in the way of the merger. For example
Hurwitz cited internal documents presented in the FTC’s case, including company emails and presentations that reportedly demonstrate that Tapestry and Capri’s executives viewed the merger as a way “to consolidate prevalent brands within the accessible luxury handbag market … to reduce competition
and reduce consumer choice within that market.”
the same documentation allegedly confirms that the defendants viewed their Michael Kors
and Kate Spade brands as fierce competitors in the accessible luxury market
a segment that they consider to be distinct from (and thus
not in competition with) pure luxury goods and mass-market products
which should have raised red flags (and prompted disclosures) from an anti-competition perspective
Hurwitz maintains that the defendants knew that “the risk of adverse regulatory actions and/or the Capri acquisition being blocked was materially higher” than they represented to the public
And in order to paint an overly optimistic picture of the deal’s likelihood of securing regulatory approval and maintain their stock prices
he claims that the companies selectively omitted or misrepresented such internal assessments in their public disclosures
Following the federal court’s decision to block the deal
Capri’s stock price fell from $41.60 to $21.26 per share
He claims that this decline was the direct result of the defendants’ misleading statements and omissions about the likelihood of the merger coming into fruition
which had artificially inflated Capri’s stock price throughout the class period (August 10
Hurwitz says that he and other Capri shareholders suffered significant financial losses due to the company’s failure to fully disclose the material risks associated with the acquisition
as well as a certification of his proposed class action to include all investors who purchased Capri stock or sold Capri shares between August 10
The case is Hurwitz v. Capri Holdings Limited
