Synlait’s Pōkeno plant will stop processing raw milk and focus on producing advanced nutrition products following a review into its North Island assets.
The review found that switching between processing plant-based proteins and dairy hindered the Pōkeno plant’s operational efficiency.
In addition, it found that transportation and a number of manufacturing costs mean it is not financially viable for Synlait to keep processing milk at Pōkeno.
This prompted Synlait’s board and management to make the decision to cease processing milk at the factory.
Synlait CEO Grant Watson said the company will meet all of its contractual obligations to the company’s 54 suppliers including incentive payments.
“We are proud of our cohort of North Island farmers and very much value the working relationship we have with them. They will remain Synlait suppliers until the end of their supply agreements and we will remain their first port of call for support.
“What will change is that Open Country will be collecting and processing their milk.”
Synlait’s Dunsandel facility will remain the hub of the business for dairy operations.
The review was undertaken as part of Synlait’s business recovery plan and examined its manufacturing facility in Pōkeno and its blending and canning facility in Auckland.
It explored a wide range of factors, including potential ownership structures, mothballing the Pōkeno facility, and how to balance its capability to process dairy and non-dairy hybrid nutrition products.
Synlait CEO Grant Watson said the review has been detailed and thorough.
“It’s given us the insight needed to lift the financial performance of these world-class assets. We now have a pathway to profitability in our North Island operations.”
Synlait’s board will not actively seek a buyer for Pōkeno, however in the event a compelling offer is made for the asset, the company may consider it.

charged with dangerous driving causing injury and driving while disqualified
“We would like to acknowledge the impact this incident had on those involved,” Pirret said

A member of the public has been critically injured after a driver fleeing police crashed head-on into their car near Pōkeno this afternoon.
The crash occurred on State Highway 2 at 3pm, when the fleeing driver attempted to avoid road spikes that had been laid across the road and swerved directly into the path of the oncoming car.
At around 1.20pm today, the stolen car had been observed on traffic cameras on Dominion Road. As a police car approached the stolen car, the driver began driving at high speed and on the wrong side of the road.
Due to the manner of driving, Police did not pursue the car, but monitored it via Eagle helicopter as it travelled through surrounding suburbs, before heading south on the Southern Motorway, then on to State Highway 2.
Officers deployed road spikes at two locations on State Highway 2 in an attempt to stop the fleeing driver.
The driver successfully avoided the first set of road spikes. He also attempted to avoid the second set of road spikes, swerving into the opposite lane and directly into the path of the oncoming car driven by an innocent member of the public.

Police have raided a cannabis grow house in Pōkeno after it caught alight
sending putrid smoke through neighbouring properties
A police spokesperson said Fire and Emergency advised them of the home’s contents after they were called to a fire at 8.23am on Tuesday
The spokesperson said the home on Hill Park Dr was vacant
Neighbours posted on social media saying they were glad to finally know “where the bad drug smell” had been coming from
It follows several other drug raids over the past few months, including the discovery of cannabis being sold in lolly packets in Ruapehu.
Police said three men were to reappear in court in the coming weeks on drug and firearm-related charges following several central North Island search warrants
Items seized included 35g of methamphetamine and 2.7kg of cannabis
In May, a bust in rural South Auckland had ended a “significant” cannabis operation worth up to $15 million. It led to the arrests of nine Vietnamese nationals - four at the Āwhitu site and five at the Glenbrook site

Beleaguered dairy company Synlait Milk has decided against selling its North Island processing facilities to restore its finances
The company had been reviewing the future of its processing and manufacturing plant at Pokeno, and a blending and canning facility in Auckland and looking at possible sales to reduce its large debt burden
Chief executive Grant Watson said the review had looked at selling
"The review has been detailed and thorough
It's given us the insight needed to lift the financial performance of these world-class assets
We now have a pathway to profitability in our North Island operations."
He said the review showed the it was not financially viable to keep processing milk at Pokeno
and it would now focus solely on making the advanced plant-based nutrition products
The company would not actively seek a buyer for Pokeno
Synlait has 54 farmer suppliers in Waikato and the company would meet its contractual obligations to them
but their milk would collected and processed by Open Country
Watson said the Dunsandel facility in Canterbury would remain the hub of the business for dairy operations
The possible sale of the money losing North Island plants was one option to bolster Synlait's financial woes of falling sales
However, Synlait's two biggest shareholders have agreed to inject $218 million into the company to fix its most immediate financial problems
which will be voted on by shareholders on 18 September
A special meeting is scheduled for 18 September

Yashili International Holdings, which makes and distributes infant milk formula products in China, has got Overseas Investment Office approval for its proposed 1.1 billion yuan ($212 million) milk processing plant in Pokeno.
The company has three years to build the plant before its consent lapses, which will also impose "certain ongoing reporting responsibilities on Yashili New Zealand," chairman Zhang Lidian said in a statement to the Hong Kong stock exchange. Yashili New Zealand is still waiting for land use and resources consents and is holding a tender for the dryer component of the facility, he said.
Yashili flagged the New Zealand investment in January after the Chaozhou City, Guangdong-based company's board signed off on a project to set up a local manufacturing facility to process up to 52,000 tons of finished and semi-finished products including base milk powder by the second half of next year.
The company said it will spend 950 million yuan on acquiring land and building the plant, and a further 150 million yuan as working capital for a New Zealand subsidiary.
Yashili already sources milk powder from New Zealand, which it uses to market its own product with slogans such as "Genuine New Zealand, Love from Yashili" and "100 per cent imported from New Zealand's milk source".
Chinese investment in New Zealand has been a heated topic in recent years after bids to buy large tracts of farm-land forced the government to announce a U-turn on its plans to free up overseas investment and a High Court ruling made the OIO impose a more rigorous analysis of foreign purchases.
Yashili was set up by the Zhang family in 1983, and still retain control. US private equity firm Carlyle Group bought a stake in the Chinese company in 2009 to ramp up its research and production, and raised HK$2.7 billion when it floated a minority share in Hong Kong the following year.
The company boosted annual profit 53 per cent to 468.5 million yuan in calendar 2012 on sales of 3.66 billion yuan.
The shares fell 3 per cent to HK$2.63 in trading yesterday, and have climbed 29 per cent this year.
Chairman Zhang Lidian is on the Chinese committee of the International Dairy Federation, and serves as a representative for the Guangdong province in the National People's Congress, according to Yashili's website.
The former Prime Minister also sees confidence returning to the New Zealand economy.
Three people have been arrested at a rural Waikato property as part of an ongoing investigation into the manufacture and supply of Class A controlled drugs.
A police spokesperson said officers from the Bay of Plenty Organised Crime Unit and Counties Manukau Offender Prevention Team alongside the Armed Offenders Squad carried out a pre-planned search warrant in the early hours of this morning.
“Two men, aged 29 and 38, and a woman aged 31, were located at the property and were taken into custody.”
Police discovered an item of interest buried near the garage, with detectives taking a photo of it, a witness said.
Police blocked off Razorback Rd shortly after 5am and a spokesperson said “specialist teams” were making inquiries.
A Herald photographer at the scene said the armed officers were “wearing chemical coveralls over their tactical gear”.
The photographer saw several people being asked questions as multiple officers, including a specialist search group and the Eagle helicopter, searched the area.
“Two neighbours who pulled over for a look both said police were at the same address only two or three weeks ago,” the photographer said.
“They mentioned that armed police and helicopters were involved as well.”

Synlait has announced its recapitalisation
Synlait Milk’s long-awaited $217.8 million recapitalisation plan will see China’s Bright Dairy take an outright majority in the troubled dairy processer
The capital raise represents around three times Synlait’s current market capitalisation of $86m and will largely deal with $180m of retail bonds that fall due in December
Bright’s holding will go from 39.01% to 65% while a2 Milk’s stake will remain at 19.8%
There will be no equity raise from minority shareholders
which means their holdings will be heavily diluted
New Zealand Shareholders Association chief executive Oliver Mander said it was disappointing that minority shareholders had not been accommodated
“It is pretty finely balanced in that in some ways there is value on the table and minority shareholders will benefit from that,” he said
“But on the other hand it comes at a significant cost - the dilution of value and loss of control.”
The association is yet to decide whether to support the plan
which involves Bright paying a premium for effective control

Synlait chairman George Adams told the Herald a decision would be made on Pōkeno - which has been up for review - in four to six weeks

The capital raise is contingent on a number of elements

Synlait and a2 Milk - its main customer for infant formula - agreed to settle their contract differences last week
the settlement with a2 Milk and the bank refinancing are inter-conditional and therefore must all be approved and occur contemporaneously (or substantially contemporaneously) with each other
Completion of all three components is expected on October 1
If either resolution for the respective placements does not pass
the settlement with a2 Milk and the bank refinancing would not complete and Synlait would be unable to repay debt and reset its balance sheet
Synlait would likely need to cease trading and initiate a formal insolvency process unless it were to become clear that further support would be forthcoming from its existing banks,” the company said

but is particularly so for Synlait given its current over-geared financial position and recent financial underperformance,” Adams said
Bright Dairy has already thrown Synlait a lifeline in the form of a $130m loan
Adams said the equity raise structure provided the greatest certainty of reducing Synlait’s debt in the shortest timeframe
“This is critical to resetting our balance sheet and will hopefully reward all shareholders for their long-term and loyal support as we work to restore confidence in our company.”
The independent directors unanimously recommended shareholders vote in favour of the ordinary resolutions relating to each of Bright Dairy and a2 Milk

Adams said a retail shareholder with $10,000 worth of shares would be on the hook for $37,000 if the recapitalisation was via a rights issue

“Then we can put this behind us and refocus
and rebuild a really strong business for the future.”
“The interesting thing about this [plan] is that it either it all works

Synlait’s independent directors have indicated their full support for the plan
Craigs Investment Partners said the “key value upside” for Synlait would be if it were able to sell Pōkeno at 50-75% of its book value
