Standing up at Agrium Inc.’s annual meeting in Calgary on Tuesday

But in reality, it appears that New York-based Jana is already moving on.
The activist hedge fund has taken down the website where it published all of its Agrium research. And on Thursday, Jana revealed a 7.4% stake in Ashland Inc., a chemical company it described as “undervalued.”
Regardless of how you interpret the final result, it shows that Jana’s 10-month proxy campaign got little traction with Agrium’s active institutional shareholders, who backed the company by a margin of roughly four to one. This did not come as a surprise to the Agrium camp. According to sources close to the company, Agrium knew for months that Jana had no chance to win this battle.
Jana appeared to have all the momentum in the early days of the fight, because it was the only side making any noise. And it made plenty. After its initial proposal to break up the company was rebuffed, it started ripping Agrium’s corporate governance and retail performance.
In the meantime, Agrium was quietly meeting with its investors and building support. The company was also performing well, and it was clear that Agrium was not going to be easy activist prey like Canadian Pacific Railway Ltd. was last year.
“On the heels of CP, Jana must have concluded it was open season on Canada,” said Richard Robinson, an investment banker at Morgan Stanley who advised Agrium. “The initial board pitch demanding a break-up was boilerplate [activist] playbook with an Agrium logo. The analysis was shallow and heavily contrived, accompanied by subtle threats.”
Jana got one massive boost in late March when proxy advisory firm Institutional Shareholder Services (ISS) issued a scathing report against Agrium that read like a Jana press release. It recommended that shareholders elect Mr. Rosenstein and David Bullock, two of Jana’s five nominees. The report was a big surprise given that three other proxy advisors and several institutions all came out in favour of Agrium.
But it appeared to work as Jana hoped. Last Monday, Jana said the two men got about 59 million votes each, apparently enough for election.
Of course, that didn’t happen. In the final tally, Mr. Rosenstein got 52.3 million votes and Mr. Bullock got 45.4 million. None of the Agrium directors got less than 59.8 million.
The huge gulf between the number of votes that Jana claimed it got and actually got remains a major source of contention. Jana insists that Agrium convinced investors to change their votes after the deadline. The Agrium camp rejects that claim, arguing that Jana knew it was in trouble and wanted to cobble together a last-minute deal.
Either way, Agrium had no interest in negotiating by that point. And after Mr. Rosenstein’s tirade at the AGM, it is hard to imagine the company will want to engage with him ever again.
“Instead of respecting the decision of shareholders he claimed to represent, Mr. Rosenstein’s speech was rife with misrepresentations, inaccuracies and removed any doubt that he was incapable of working constructively with Agrium’s board,” Mr. Robinson said.

Rail Baltica is a proposed high-speed line to link Helsinki with Berlin through the Baltic capitals by 2024
The part running through Latvia is estimated to be about 265 kilometers long and cost €1.27b
of which 80-85% would be covered by EU funds
rus.lsm.lv was told at the Polish Ministry of Infrastructure and Development that "It does not mean
that the project would not be implemented at all"
The Polish government approved a national program for railway investment until 2023 on September 15
The cost of all its projects sits at PLN 67.5 billion (about €15.9b).
The implementation of the programme is primarily aimed at shortening the train travel time on the railway routes managed by PKP Polskie Linie Kolejowe SA
the company responsible for maintenance of rail tracks
and management of railway land in Poland.
The plan includes lengthening sections of railway lines allowing passenger trains to travel at a speed over 160 km/h
The track from the border station of Trakiszki to the nearest large city - Białystok - is
in an unfavorable condition for fast-speed trains that
should run through the Tallin-Rīga-Kaunas-Warsaw-Berlin track with the average speed of above 120 km/h.

Its current speed limits are 120 km/h for passenger trains and 100 km/h for freight trains
about a quarter of the track has a speed limit of 30 km/h (the Olecko–Suwałki line)
and only the Białystok–Ełk section - about half of the course - has been electrified
The technical condition of tracks is good for 69.5% of the section’s length
with speed limits and requiring a replacement of up to 30% pavement elements
needing comprehensive pavement replacement and with a considerable reduction of timetable speed
The first tenders for the amount of PLN 11 billion (about €2.6b) are to be announced this year already
and to be spent in the next years at about the same speed
a representative of the Ministry of Infrastructure and Development told rus.lsm.lv that there are no plans for reconstruction and modernizing the Trakiszki-Białystok section.
"The project is on the National Railways Plan (NRP) reserve list
The NRP division into the basic and reserve list is the effect of available allocation of European Union funds for 2014-2020 and national funds that can be involved," told a representative of the ministry
this doesn't mean that the project will be scrapped altogether
The ministry said that if "adequate funds are obtained" by generating savings during the implementation of the projects on the basic list
or with money from from the European Connecting Europe Facility fund pool
Though even if some funds are saved during the project
there's no guarantee that they'll be spent on the Rail Baltica section by the border: "Projects will be selected according to their degree of preparation and the total pool of available funds
is performing preparatory works for some of these projects
it will be possible to immediately submit an application for co-financing and launch project implementation

The Ministry of Infrastructure and Development said that at the moment a feasibility study
planned to be completed in April 2016 is underway
and whether funding will be allotted to the line depends on its results
If funds in sufficient amount are obtained
construction works could be carried out between 2018 and 2021

when the crews will appear on the Lubiewo shakedown test
the ceremonial start will take place on the charming main square in Mikołajki (Freedom Square) with the King of Vendace fountain in the background

The fight against time will begin during the first super-special stage on the Mikołajki Arena track
where the crews will appear four times during the entire rally

Rally Poland marks the start of a summer of high-speed gravel rallies that could prove instrumental in the fight for the 2024 World Rally Championship
Poland returns to the calendar for the first time since 2017 and the softer nature of the roads surrounding Mikołajki mark it out as unique among the trio of speed events where the WRC travels from Poland to Latvia and then on to Finland
The stages this weekend will be unfamiliar to some of the top-flight regulars
while one driver will be making history driving a Rally1 car with its hybrid system removed
Here is everything you need to know ahead of Rally Poland
Ogier will take the startline for the fifth time in seven 2024 WRC events
The Rally1 entry in Poland increases to nine cars
as Mārtiņš Sesks makes his debut in top-level machinery
This will be the first time we see a Rally1 car running with no hybrid
as Sesks uses the rally to get accustomed to the Puma before driving the full-spec car at his home event in Latvia next month
The rest of the M-Sport lineup is business as usual
and it will be a case of building experience for both drivers
Adrien Fourmaux has never competed in Poland
while team-mate Grégoire Munster will be looking to build on his more positive performance in Sardinia
Thierry Neuville will lead the field away having established himself as title favorite
the Hyundai driver will be looking to protect that championship advantage in the face of a resurgent Ott Tänak

The Toyotas of Roope Korhonen and Georg Linnamäe start eighth and ninth
and Martin Prokop rounds out the top 10 in a Škoda
Home favorite Kajetan Kajetanowicz contests his third WRC2 round of the season
Robert Virves makes his second WRC2 start of the year in another Škoda
while 2019 and 2021 Polish champion Mikołaj Marczyk is another local driver looking to make his mark
Rally Poland is not a round of the Junior World Rally Championship
so the number of Rally3 cars is limited to just 11
though there are some familiar JWRC names on the entry list
so he will be looking to strengthen his advantage after class victories in Portugal and Sardinia

Behind Chatillon is a pair of Bolivian JWRC regulars
The remainder of the WRC3 entry is made up of local drivers
Gracjan Predko and Grzegorz Bonder leading the way
Based out of the town of Mikołajki in the north of Poland
the rally features 188 miles of competitive stages
starting with a 1.6-mile blast through Mikołajki Arena on Thursday evening
The action gets underway proper on Friday morning
with two loops of three stages punctuated by a tire fitting zone in Olecko
Each loop is made up of the 18.3-mile Stańczyki
8.0-mile Wieliczki and 8.2-mile Olecko tests
Poland's roads have their own character - and are fast
Friday is rounded out by another run through Mikołajki Arena and
the cars and crews will no doubt be ready for some attention
The day begins with the 11.5-mile Świętajno test
The crews then return to Mikołajki for a third pass of the 1.6-mile arena stage
Saturday does include a 40-minute lunchtime service
so there will be time to carry out any repairs before the afternoon loop
This is made up of the same three stages used in the morning
but with the Mikołajki Arena stage omitted
Sunday features four stages and 39.8 miles that bring the rally to its conclusion
The 12.9-mile Gmina Mrągowo and 7.0-mile Mikołajki make up the day’s two loops
