The long-running battle between Damen and the Romanian government over the operations of the Mangalia shipyard on the Black Sea took a new step as a court in Constanta initiated an insolvency procedure An administrator has been appointed to look for a recovery plan for the shipyard The Netherlands’ Damen took operational control of the shipyard in 2018 with high expectations for the operation which remained 51 percent owned by the government The yard had been in operation since 1976 known for 20 years as the 2 Mai Mangalia Shipyard South Korea’s Daewoo launched a joint venture to operate the yard in 1997 and expanded the operations with a focus on commercial ships Damen highlighted that the yard had three large drydocks and it was the largest in its group Damen has a long history with Romania operating the Galati shipyard since 1999 Plans for Mangalia called for expansion and further investment in areas such as the outfitting capabilities Mangalia however was hit hard by the downturn in the shipping industry with the company citing the decline in demand from the offshore sector They also reported increased competition from shipyards in Asia Damen launched a plan for the reorganization of the yard Plans for downsizing the operation and refocusing the business were not well received in Romania where it was reported Damen would reduce headcount at Mangalia by over 200 and at Galati by nearly 650 people The company however in early 2023 highlighted a recovery including two HVDC (High-Voltage Direct Current) offshore transmission projects at the yard both of which were being constructed under contracts with Aker Solutions as the main EPCI contractor The Romanian government in June 2023 passed a new law that gave it control of Mangalia and limited Damen’s involvement to a minority investor The company protested but unable to resolve issues with the government moved in August 2023 to terminate the joint venture Reports were at the time the yard was employing 1,500 full-time individuals plus contractors employees and flex-time staff Damen in April 2024 sought to take the case to an international arbitration court in Vienna Damen was reported to be seeking compensation to end the joint venture and its loss of control of the yard Reports in the Romanian media said that Damen had guaranteed more than $170 million in loans for the shipyard The shipyard filed for a bankruptcy proceeding at the end of May and last week the court decided to proceed with the insolvency The administration set the first meeting for the end of August while saying it would be studying the business to understand its weaknesses and working to define a recovery strategy  They said the aim was to provide as much stability and clarity in a complex situation Providing some respite for one of Europe’s largest shipyards Damen Shipyards Mangalia has just won two ship repair contracts The Romanian yard has won a contract to repair two Maltese-flagged ships with the one-month work set to start by the end of this year.  “This step is also important from the perspective of the international market where confidence in a shipyard’s capacity is crucial,” said Sofien Lamiri Insolvency proceedings against Damen Mangalia got underway three months ago.  Dutch shipbuilder Damen filed a bankruptcy request against the joint venture in May over a long-running battle it has had with the government The yard which boasts three drydocks can trace its origins back to 1976 Daewoo Shipbuilding & Marine Engineering (DSME) took it over for a period of 20 years at which point Damen came in.  citing a failure on the Romanian government’s behalf to stick to joint venture agreements Local media in Romania suggest Damen is also seeking a sizeable compensation package in its legal battle with Bucharest.  They should be bright yellow so they are visible in the ocea.. claims to be submitted against Damen Mangalia a shipyard that was formerly run by Daewoo Shipbuilding & Marine Engineering (DSME).  Dutch shipbuilder Damen filed a bankruptcy request against the joint Mangalia shipyard the decision does not affect the Damen Galaţi Shipyard in which Damen is the majority shareholder Dutch shipbuilder Damen has decided to withdraw from a partnership it had with the Romanian government regarding the Mangalia shipyard Damen said that the decision was motivated by the fact that the Romanian state no longer respects the agreement regarding the operational and managerial side of the shipyard is a player in the shipbuilding industry in Romania which owns and invests in the largest shipyards in the country – Galaţi and Mangalia – as well as operates the largest naval design company in Romania The company’s presence ensures over 3,500 jobs locally over 400 projects have been completed in Romania and over 30 defence and security vessels have been built for 14 navies and coast guards Damen claims that it turned Mangalia into one of the top five shipyards in Europe as far as the offshore industry capabilities are concerned – especially the offshore wind industry a 2% stake to the Romanian government thus turning the majority ownership to the state The operational and managerial operations remained in Damen’s hands the Romanian government passed a new corporate governance law otherwise known as Law 187/2023 This nullified the agreement between the two parties as the new law forcefully removes Damen from the management role at Mangalia completely invalidates the principles that were the basis of its decision to invest in the Mangalia shipyard Following an already difficult collaboration and now facing these unilateral changes Damen claimed that it faced not only a breach of contract but also a breach of trust on the part of the Romanian state The shipbuilder expressed a willingness to remedy the situation before it gave the government a breach of contract notice but no solution was offered by the partner The company then had no alternative but to issue the notice of termination of the Association Agreement concluded in 2018 with Romania Damen Shipyards Group and De Beers Marine Namibia (Pty) Ltd (Debmarine Namibia) have marked the start of construction of a new diamond mining vessel with a steel cutting ceremony held at the Damen Mangalia shipyard in Romania According to Debmarine Namibia (a joint venture between De Beers and the Government of Namibia) the vessel is expected to cost $468 million and is the At the beginning of the summer season, the sound of sawing almost drowns out the seagulls as businesses get ready for the arrival of thousands of tourists. But while shops, bars and restaurants are taking on new staff, the future of the town’s single largest employer – the Daewoo-Mangalia Heavy Industries (DMHI) shipyard – is uncertain South Korea’s Daewoo Shipbuilding & Marine Engineering (DSME) with Korea Development Bank and the Export-Import Bank of Korea injecting KRW4.2trn (€3.2bn) on the condition the company would cut costs and increase efficiency This included a requirement to look for a buyer for the loss-making Mangalia shipyard The company also plans to sell other assets including its yard in Shandong the troubled Korean shipbuilder submitted a new restructuring plan to its creditors It plans to initially turn the Mangalia shipyard into a repair yard once its current orders have been fulfilled The company has not elaborated on what the restructuring would mean for the shipyard and its employees but job losses at DMHI would be a heavy blow for the small resort town where its cranes and gantries are visible from most street corners beyond the pastel painted apartment blocks would be a potential buyer of the shipyard during the last but one great shipbuilding boom the 2 Mai Shipyard formed a joint venture with DSME in 1997 to create DHMI the DMHI shipyard mainly churns out tankers and other large which today are mainly produced in the Far East where labour costs are lower and shipbuilders can benefit from economies of scale “Daewoo Mangalia made sense 20 years ago when DSME invested prices collapsed and labour costs are rising,” says Paul Stott senior lecturer at the School of Marine Science and Technology While the Mangalia shipyard used to be highly competitive on cost within Europe comparisons with other European shipbuilders are irrelevant because these kinds of ships are no longer being built in Europe and it is very difficult to compete on cost as the economies of scale [in the Far East] are enormous.” a provider of intelligence for global shipping points out that the production volume in Romania is modest compared to that of the world’s largest shipbuilding nations Romanian shipyards delivered commercial ships totalling over 200,000 gross tonnes (GT) The sheer size of the ships produced in Mangalia mean that by volume Romania is the largest shipbuilder in Europe with Mangalia accounting for over 80% of the total Romania is quite low on the list of European shipbuilders; contract value in 2014 was around $500mn – equivalent to the value of a single cruise ship from one of the high-tech German or Italian shipbuilders such as Meyer Werft or Fincantieri The problems at DSME come in the context of a dramatic global downturn in the global shipbuilding industry “There has been a strong pattern of the industry lurching from crisis to crisis over the last 200 years Builders of big ships have a real rollercoaster ride and about every 25-30 years we see a massive peak and a collapse,” says Stott The peak in the 1970s was followed by the closure of many shipyards (including many of those in the UK) “The economic crisis may have been a trigger for the subsequent collapse but basically it was because the market overheated which means that prices have fallen to little more than half of the pre-crisis levels for some types of ships,” says Stott “Now we have to wait for the shipping industry to absorb the excess capacity built Things are not happy in the sector DSME is in though the market for smaller ships is more sustainable.” DSME is not the only major global shipbuilder to be affected “There has to be a big question over Daewoo Mangalia I don’t believe they would find another investor who would want to continue building the big simple ships they are building.” executive managing director of the Romanian Shipbuilders Association (Anconav) tells bne IntelliNews that despite the global crisis in the industry shipbuilding is “still alive” in Romania and he expects the sector to remain healthy in future he points to strict EU rules on state aid to shipbuilders that would rule out a rescue for the Mangalia shipyard should DSME be unable to continue operating in Romania the European Commission ruled that a planned aid package for Spain’s struggling shipbuilders was illegal despite warnings from Madrid of the risk of over 80,000 jobs being lost at Spanish shipyards the picture for other Romanian shipyards is more positive Positioned on the Black Sea coast and the Danube delta Romania has a long tradition of shipbuilding Small craftsmen have been building and repairing ships for centuries and larger shipyards were built in towns such as Braila Galati and Giurgiu back in the 19th century Since the collapse of communism in Romania most have been taken over by international shipbuilding companies and moved into profitable niche markets – a pattern pursued by shipbuilders across Europe started cooperation with Netherlands-based Damen Shipyards in 1994 and was taken over by Damen five years later Since then it has produced an average of 24 vessels a year including passenger ferries “Damen’s shipbuilding concept is based on what our customers want..
