The court rejected the FTC’s “premium” mattress market, defined by a specific price point, given evidence that mattresses are priced on a spectrum and competition occurs across that spectrum. Although the court found the merged firm would have the incentive and ability to foreclose competitors, it concluded the deal would not substantially lessen competition based on the limited degree of potential foreclosure and that the parties’ remedies eliminated any lingering concerns. The court broadly disagreed and denied the FTC’s motion on several grounds, finding at a threshold level that the FTC failed to prove its affirmative case that the transaction would substantially lessen competition. Although the court found that the FTC proved defendants would have the ability and incentive to foreclose rivals (under both the independent ability and incentive test and the Brown Shoe vertical merger factors), it nonetheless found that any such foreclosure would not be substantial or cause anticompetitive effects for three central reasons.  Notably, the court said that the appropriate place in merger analysis to consider defendants’ remedies was in the rebuttal phase (rather than require the FTC to prove its prima facie case considering the remedies), and that the proper standard was whether the remedies prevent the merger from substantially lessening competition (rather than require remedies to eliminate all competitive harm). Different courts have reached different conclusions on these issues. Luke Taeschler bHRhZXNjaGxlckBjcm93ZWxsLmNvbSA= Alexis J. Gilman YWdpbG1hbkBjcm93ZWxsLmNvbQ== Shawn R. Under panel - 70% polypropylene medium foam and gel-infused comfort layers medium-firm; no alternatives for this particular model free two-man delivery; additional cost to have old mattress removed It took two weeks from ordering the mattress to finding an available delivery window – both an irritation and a source of comfort for the consumer I desperately wanted to stop sleeping on a mattress that felt like it was stabbing hot spikes into my back all night and would have me waking more exhausted than I’d been before going to sleep I felt it was encouraging that so many others were ordering Sealy Posturepedics Especially since this particular model mattress didn’t seem to have many reviews online – yet I was surprised to discover there was no trial period for this mattress when you ordered from Sealy Two weeks is the expert-recommended time-frame to understand how well a mattress will work for your sleep needs and the time-frame used in most scientific sleep studies I would have benefitted from longer than 14 days to make a commitment on a four-figure piece of kit Especially because my first two weeks with the Sealy resembled a joyful Disney movie montage while my bad nights (issues falling asleep sweaty wakeups in the middle of the night) I have no doubt about its durability and ability to last that long but it is a shorter warranty period than other comparable mattress brands The mattress arrived wrapped in a single plastic sheet and the two-man delivery team got it down the stairs and into my temporary bedroom and on the bed frame at my in-laws within about five minutes The downside that had me pulling the plastic wrap off within minutes They arrived smelling like 18 packs of cigarettes had been smoked between them I didn’t need them to take another mattress away since I’m hoping to remain on speaking terms with my in-laws for the rest of my life and thought it a bit rash to dispose of their mattress but I did learn they would have taken an old mattress away for an additional fee Within seconds of the mattress landing on my bed frame I collapsed onto it with a theatrical “ahhhhh” and I could swear tiny fingers were reaching up to coax my body down into its ideal position The mattress seemed completely unfazed by the exertion This mattress is leagues ahead of the competition when it comes to comfort and support: as someone who regularly visits a physio for a variety of post-ballerina-in-my-past-life injuries and currently-in-my-40s-wear-and-tear-injuries I honestly felt like this mattress was my own personal physio-at-night time from the moment I first lay down on it It’s a medium firm option – not too soft or firm and the only choice available for this model This works well for me because I hate the feeling of sinking down into a too-soft mattress (agony) but also find that too-firm choices make my hips and back ache even more This in-between option worked well when I was in bed on my own but also felt comfortable when my children snuggled in around me or when my husband was snoozing by my side The Sealy Posturepedic Elevate Gel Cool Mattress gets five-stars for support pressure relief and helping my spinal alignment as a side sleeper and I think anyone looking for additional back and postural support – no matter their age – would be thrilled to discover that a mattress can seemingly double as an at-home physio during the evening hours I was still recovering from a lower back injury and associated issues when I first slept on it back in February; I woke up that first morning feeling two inches taller and better-rested than I had been for weeks my lower back and hips felt less stiff than they had in months and I’m sure I have this mattress’s amazing technology to thank for it (in part) Things like a twice-tempered patented coil system (AlignSupport®) and BasePlank foundation technology which help distribute weight evenly as you lie back There’s also a double layer of medium foam in the middle The foam ComfortCore™ in the centre third of the mattress is designed to offer pressure relief to hips and back which need it most with deep curves and grooves to run your fingers all over All of this technology comes wrapped in polyester and polypropylene fabrics as someone who has seen carpet moths devour a gorgeous natural material trundle mattress I appreciate these materials are more hardwearing than natural fibres I do like the idea of sleeping on some natural fibres which I’ve found can be more cooling for me than man-made ones This mattress has given me many nights of blissful sleep but I’ve also had a handful of perimenopausal insomnia episodes where I haven’t been able to get any shuteye until 3 or 4 in the morning and noticed my husband’s every fidget next to me I’m confident I wouldn’t notice these movements if I hadn’t been awake to see them: I never felt myself moving around when he was and the mattress felt like a steady hand holding me too: thanks to UniCased® technology at the sides the mattress seems to have a larger surface area than a double and you don’t have the sensation you’re about to roll off at any moment Because of my hormonal issues and my tendency to get up often in the middle of the night for one reason or another I’ve been sleeping on the far left side of the bed and enjoying it (far more than sleeping closer to the wall which feels like a recipe for overheating) While it’s not uncommon for new mattresses to have an off-gassing chemical odour as compounds are released into the air that can last for several days I was too pleased to be rid of the intense cigarette smell that accompanied the delivery guys which seemed to dissipate as soon as I chucked the external plastic wrap I’ve been experiencing fairly extreme perimenopausal symptoms for the past 18 months which have improved in the last several months after hormonal intervention (Mirena coil) but continue to impact my sleep causing insomnia and waking with night sweats My body temperature regulation is becoming a more noticeable issue as I find myself layering up before bed on chilly nights and then peeling those layers off after realising they’re stuck to me and I’m sweating and lightheaded I found myself spending less and less time in bed relaxing because it was getting so uncomfortable so I loved the sound of a cooling mattress that might be able to help me temperature-regulate through the night This mattress is a huge improvement over the last one I slept on In addition to the mid-layers designed to promote air circulation and breathability an advanced cooling technology which promises to help lower your body temperature It’s also made with Allergy UK-endorsed ProShield® to maximise breathability and keep dust mites and other allergens away Cooling mattresses aren’t miracle workers and my bad hormonal nights – though fewer and farther between – were still bad groggy and uncomfortable in the middle of the night on a couple of occasions I felt more in control of my environment and body temperature which allowed me to do insanely rebellious things before bed like having the audacity to not remove my sweatshirt on chillier evenings before falling asleep the hot flushes didn’t happen on those nights but when I was in a vest top and shorts or silk PJs.) Sealy UK mattresses are handmade in England (in Cumbria) and the brand is FSC-certified and operates a “zero to landfill” policy with the brand aiming to divert all its materials away from landfills through recycling and repurposing The Sealy Posturepedic is 100% recyclable at the end of its life But given the things the Sealy Posturepedic Elevate Gel Cool Mattress does for my back and hips are probably worth £50+ an hour at physiotherapy in the long term I may very well find that this mattress has paid for itself because it is so fantastically supportive it targets my specific lower back and hip issues like it was designed for me I’ve already recommended this mattress to my in-laws (in their 70s and 80s with lower back issues) and my friends (in their 40s I don’t think my body can get away with “any old mattress” anymore and considering the improvement in my quality of life and quality of sleep after using this Sealy Posturepedic for a short time not only do I believe not all mattresses are created equally I’m convinced prioritising back health is a key midlife goal for me I also think that the cooling technology in this mattress is effective enough to provide good sleep for a majority of nights I don’t particularly aspire to life as a fairy tale character but I do want my sleep to look more like Snow White or Sleeping Beauty’s This mattress could definitely give me International Inc District Court for the Southern District of Texas in defeating the Federal Trade Commission’s (FTC) lawsuit seeking a preliminary injunction against Tempur Sealy’s $5 billion acquisition of Mattress Firm Group (Mattress Firm) Contrary to the FTC’s allegations that “millions of Americans would likely face higher prices and fewer choices,” the court found that the acquisition is “either neutral or procompetitive” and “in the public interest.” The Commission voted unanimously to challenge the acquisition in summer 2024 alleging that the acquisition would combine the largest mattress supplier in the world with the largest mattress retailer in the country in violation of Section 7 of the Clayton Act and Section 5 of the FTC Act The FTC argued that Tempur Sealy would be able to foreclose rival manufacturers from selling at Mattress Firm or otherwise hinder rivals’ ability to sell through the retailer and this would substantially lessen competition The FTC also alleged that the merger would lessen innovation and cause other competitive harms trial began on November 12 and ended on November 25 with Cleary partner and lead trial counsel Ryan Shores delivering closing argument for the defendants on December 16 District Judge Charles Eskridge denied the FTC’s motion for a preliminary injunction issued on the final day of Lina Khan’s tenure at the FTC is a blow to the Biden Administration’s efforts to push back on vertical mergers the court found that the FTC failed to establish a relevant geographic market a relevant product market for “premium” mattresses retailing for at least $2,000 and that even if the FTC had established a relevant antitrust market “any potential foreclosure won’t lead to anticompetitive effects in this very competitive market.” The court’s determinations regarding the market were informed in large part by testimony from the cross examination of a witness from Sleep Number conducted by Cleary partner Blair Matthews demonstrating that $2,000 was not a widely accepted cutoff for premium mattresses and that there are many channels for mattress retail The court also found that even if there were “lingering concerns,” Tempur Sealy’s commitments to divest stores to Mattress Warehouse and to preserve a large portion of Mattress Firm’s floor for rival manufacturers were “sufficient to prevent the merger from inflicting any substantial harm to competition.” A cornerstone of the FTC’s case was testimony from Serta Simmons that the transaction was an “existential threat.” On cross examination Cleary partner Heather Nyong’o elicited testimony demonstrating that those claims contradicted statements Serta Simmons had made to a bankruptcy court predicting sales growth at Mattress Firm after the deal was announced the court concluded that Serta Simmons’ testimony about supposed harm “came with no credibility whatsoever and cannot stand as factual support for any contention by the FTC in this action.” The court also accepted the testimony by Tempur Sealy’s CEO that Serta Simmons had been unreasonable in the demands it attached to a potential post-closing supply agreement for Mattress Firm The FTC also put forth an economic model attempting to demonstrate that the transaction would result in total consumer harm of $280 million On cross examination by Cleary partner Dan Culley the FTC’s expert was forced to acknowledge that his methodology was simply to “put the numbers in the model and then just see what comes out” and that he could not otherwise explain why downward pricing pressure from elimination of double marginalization—a standard benefit of vertical mergers such as this one—did not predominate The court found that the expert’s testimony “doesn’t exactly inspire confidence that he accounted for the market and commercial realities of the situation.” Instead the court credited the defendants’ expert (also examined by Dan) who explained that once those realities were accounted for the FTC’s own model showed that rival manufacturers would have greater sales through Mattress Firm post-transaction and consumer welfare would increase by nearly $900 million The FTC declined to seek an injunction pending appeal allowing the acquisition to close on February 5 The Part 3 proceeding remains pending before FTC Administrative Law Judge Jay Himes the merging firms filed a lawsuit in the Southern District of Texas challenging the constitutionality of that administrative proceeding A federal court in January denied antitrust regulators’ latest move against the deal which creates a conglomerate of three decentralized business units and the largest bedding company in the world Tempur Sealy has closed on its $5 billion acquisition of bedding retail chain Mattress Firm The transaction was funded by about $2.7 billion in cash on hand plus proceeds from existing borrowings and 34.2 million shares of common stock Effective Feb. 18, the company will change its name to Somnigroup International and run Tempur Sealy Dreams and Mattress Firm as decentralized business units In the second quarter, the company expects to complete a divestiture of 73 Mattress Firm stores and the chain’s Sleep Outfitters subsidiary Tempur Sealy agreed to the sale in September to assuage antitrust concerns This deal, first announced in 2023 has culminated more or less when Tempur Sealy executives said it would: The company last year said it expected to wrap it up in late 2024 or early 2025 Mattress Firm and Dreams will continue to operate as multibranded retailers while Tempur Sealy will continue to manufacture bedding for third-party retailers as well as Mattress Firm Dreams and its own direct-to-consumer channel “We're glad to finish — finally finish — and move forward on this transaction and capitalize on the incredible opportunities this .. combination creates,” CEO Scott Thompson told analysts Thursday morning “We are now the world's largest bedding company while also owning a portfolio of the most highly recognized brands in the industry.” even as the business units operate independently The combination brings the largest mattress retail operation in the U.S into what had been “a pure manufacturer,” making it more competitive bringing it closer to the consumer and creating more opportunity for innovation The activity at the FTC precluded Tempur Sealy executives from seeing details like Mattress Firm’s store- or brand-level performance but “there are some stores that need to be refreshed to make sure that we provide our customers and our employees a working environment that is fresh Mattress Firm’s bankruptcy a few years ago, when it shrank its footprint, means the retailer is stronger now, and has taken share at a time when the category has been challenged, he also said.  “If you look at the market, some of the retail competitors of Mattress Firm, some large, some small ... have not made it through this downturn,” he said. “That also should be a positive for Mattress Firm going forward as the market normalizes.” In pro forma terms, in 2024, the company generated about $8 billion in sales, net of intercompany sales, with 85% in North America and 15% elsewhere, per its Wednesday release. About 65% of sales were through direct-to-consumer channels and 35% from third-party retailers. The nearshoring trends with Mexico also support the market The appetite for industrial space during the first three months stood above the 56-quarter trailing average with tenants seeking 2.3 million square feet However, on account of last year’s record industrial completions the vacancy rate continued its upward trajectory—albeit at a slower pace—climbing 70 basis points quarter-over-quarter to 10.2 percent in March Sealy Posturepedic has three beds to choose from the Posturepedic Hybrid and the Posturepedic Plus Hybrid Each bed offers firmness options that will be suitable for side sleepers The Sealy Posturepedic Hybrid mattress is offered in two firmness models we found the soft model to be a medium in terms of firmness we recommend looking at the firmer model or other beds offered from Sealy The Sealy Posturepedic Hybrid should last you for at least the next seven to 10 years The Sealy mattress is backed by a 10 year warranty and should at least last up to that 10 year mark With 5+ years of mattress testing experience we use our different sleeping position and body type perspectives to offer well-rounded which was one of the first beds I had tested in my tenure with reviewing mattresses Though Sealy offers a variety of mattresses we decided to keep it simple and test its flagship product This Posturepedic series was originally designed with the help from orthopedic surgeons back in the 1950s to create a mattress that provided better back support Now I don't know if this 2024 model is the same as the original but hopefully by the end of this review we will answer the question whether this bed provides good back support or provides the same amount of support as a limp noodle Watch me review the Sealy Posturepedic Hybrid mattress in this video review First impressions of the Sealy Posturepedic HybridThis bed ships to you completely free It does not come as a bed in a box but with free in-home set up and delivery which is a step above what most online brands offer This in-home set up and delivery is also referred to in the mattress world as white glove delivery Once the delivery team unboxes the mattress in your room you're free to start sleeping on it immediately I'd recommend waiting until the delivery members are out of the house before taking a quick nap The blue and gray cover was the same color as my alma mater I was about ready to get my old football jersey out to relive the "glory days," but then I remembered I was at work and was supposed to be testing this bed So I laid on the mattress and felt quite supported on the bed It was more responsive than I thought it would be and it was not as firm as I had hoped for I knew immediately that this would be accommodating for many people Dillon Payne/CNETWhat does the Sealy Posturepedic Hybrid feel like? The Sealy Posturepedic Hybrid mattress has an airy memory foam feel. This is different from most traditional memory foam mattresses. Tempur-Pedic beds will slowly sink in and cradle your body An airy memory foam feel provides those sink-in qualities but is more responsive Sealy's feel will allow people to rotate between sleeping positions more effortlessly throughout the night This is something I prefer because I tend to find myself flopping like a fish out of water when I'm sleeping Dillon Payne/CNETHow firm is the Sealy Posturepedic Hybrid mattress? The Sealy Posturepedic Hybrid mattress is offered in two different firmness options: a soft model and a firm model we found the soft model has a medium firmness A medium firmness is great for couples who have different sleeping preferences The bed will provide the support a back or stomach sleeper will be seeking out in their mattress while allowing pressure relief for side sleepers this mattress gives you the best of both worlds with its comfort and support Dillon Payne/CNETSealy Posturepedic Hybrid is a thirteen-inch mattress and has a basic four layer construction Here's what's going on inside the bed: we don't foresee anyone waking you up on the Sealy Posturepedic Hybrid if they toss and turn throughout the night While the cover is made with cool to the touch fibers, we would say the temperature on this mattress is neutral. It is not going to cool you down but it certainly won't warm you up while you're sleeping either. If you are looking for an ultra cooling option, I recommend looking at our best cooling mattress list Since the mattress is made with individually wrapped coils for the support base We often find individually wrapped coils as a support base help the longevity of the mattress over just a foam support base The reinforced perimeter will help as well The Sealy Posturepedic Hybrid mattress offers a zoned-support design, but it's not as prominent and noticeable as some other beds we have tested If you don't need an enhanced zoned-support design then here's who will benefit the most from sleeping on this mattress Dillon Payne/CNETSleeping positionAll sleeping positions will work on this mattress This is a combination sleeper's haven since the bed is responsive enough for one to change positions throughout the night Most body types will be supported by this mattress. Heavier individuals may find this bed softer which means it will be more ideal for heavy side sleepers. If you are heavier and don't prefer side sleeping, I'd recommend looking into the Helix Plus Luxe or the Big Fig mattress Sealy's retail price is still cheaper than both of those beds' discounted prices I would choose the Sealy Posturepedic Hybrid mattress as you are getting a similar feel You get a 90-night trial period to try it at home risk-free If you happen not to like it within that time frame you're backed by a 10-year limited warranty These are both hybrid beds with a similar design Both beds have an airy memory foam feel and provide pressure relief and support for combination sleepers The one advantage the Layla Hybrid has is it has a flippable design Layla Hybrid has a soft side and a firm side to choose from Sealy Posturepedic Hybrid is offered in two firmness options but you will have to choose one when you purchase the bed If you are looking to bring home a mattress that offers two firmnesses in one bed Both of these beds offer multiple firmness options and have an airy memory foam feel The GravityLux is offered in three firmness options: a soft model whereas the Sealy Posturepedic Hybrid mattress has a coil base The GravityLux's cover has a type of pillow top design that the Sealy Posturepedic Hybrid mattress lacks If you are looking for more support within the mattress I would recommend the Sealy Posturepedic Hybrid mattress While this mattress doesn't have too many special features the feel and firmness of the Sealy Posturepedic will be universally enjoyed I do believe this is a great option for someone looking for an affordable mattress that has some zoned-support design and reinforced edges the Sealy Posturepedic Hybrid mattress is ideal for those couples compromising between firmnesses and not wanting to put a down payment on a bed Thanks for visiting LEXINGTON, Ky. Skip ahead for a review summary Financing options are available for this mattress Both of these beds are hybrid mattresses from classic brands but there are some key differences that set them apart Let’s take a closer look at the similarities and differences between the Stearns & Foster Lux Estate and the Sealy Posturepedic Now let’s go over the firmness and feel of the Stearns & Foster Lux Estate and Sealy Posturepedic mattresses where 1 is the softest and 10 is the firmest We use 6.5 as the standard for medium-firm we have several colleagues lay on the mattress in different positions Then we average together the scores for a final firmness rating Our testers rated the Stearns & Foster Lux Estate as a 6.5 out of 10 Keep in mind we tested the Medium Pillow Top version of the Stearns & Foster Lux Estate so the firmness will vary depending on the model you choose We also rated the Sealy Posturepedic as a 6.5 out of 10 light contouring but still kept you on top of the bed and supported can play a large role in how a mattress will work for you Every sleeping position has different needs from their mattress such as different levels of pressure relief or support And people of different weights will experience mattresses differently while heavier people may sink into the bed a lot.  Let’s go over how different sleeping positions and body types might feel on each of these beds Back — The Stearns & Foster Lux Estate is a fantastic option for back sleepers offering an excellent mix of pressure relief and support I felt very comfortable on my back on the Medium Pillow Top model we tested but I think back sleepers could likely do well on most of the different Lux Estate models Side — The Stearns & Foster Lux Estate is also a great choice for side sleepers as its upper layers offer tons of pressure relief for the shoulder and hip so you could opt for the Soft Pillow Top model instead of the Medium one we tested if you were looking for even more pressure relief.  Stomach — The Stearns & Foster Lux Estate can also work really well for stomach sleepers it’s firm enough to keep most stomach sleepers in a neutral position — plus you could always choose the Firm version if you wanted I was really impressed with how little my hips were sinking into this mattress which means my lower back stayed in a more neutral position Body Weight — I think the Stearns & Foster Lux Estate can work for people of all body types and heavyweight sleepers should all feel comfortable and well-supported on this very sturdy mattress Back — The Posturepedic is a really solid option for back sleepers It offers nice support and we found the foam layers filled in the lumbar region nicely the medium-firm feel is the right balance of comfort and support that back sleepers generally need Side — Side sleepers should feel good on the Sealy Posturepedic I will note that I personally felt some pressure around my shoulder on this bed while side sleeping so those with sensitive shoulders may not love it Stomach — The Posturepedic could work for some lightweight to average weight stomach sleepers The Firm model could be an even better option for some stomach sleepers since it will keep their hips more lifted and in line with their spine Body Weight — Like the Stearns & Foster I think the Sealy Posturepedic can work for people of all body types It’s no secret that mattresses are a big purchase — even the cheapest mattresses are at least a few hundred dollars So price is naturally an important factor to consider as you are shopping around Below I’ve broken down the pricing for the Stearns & Foster Lux Estate and Sealy Posturepedic by size Prices listed will be before discount or offer for each size.  Now let’s take a look inside these mattresses Support Layer: The Posturepedic has a section of the brand’s Response Pro Encased coils This coil layer makes up the supportive base of the bed There are also additional springs around the perimeter This is the latest in the legal back-and-forth with the FTC and the companies in Tempur Sealy’s attempt to acquire Mattress Firm through a $4 billion deal In their reply, Tempur and Mattress Firm reiterated the premise that they “have no plan or incentive to foreclose competitors.” That has been part of the foundation for the FTC’s decision to block the acquisition: that the deal would lessen competition and make mattresses more expensive for consumers the companies said “commitments don’t need to be in executed contracts,” challenging the commission’s argument that said there was no way to enforce such a commitment Firing back specifically at the FTC’s argument that the slot program doesn’t protect Bedding “confirms this case seeks to protect a competitor Tempur Sealy and Mattress Firm said the retailer has “every incentive to floor high-quality third-party products;” it otherwise risks losing sales to its many competitors the companies argued that it is consistent with “this dynamic industry” and gives mattress competitors time “to boost other channels or open their own stores just as Tempur Sealy did in two-years post breakup.” courts have relied on similar commitments because companies “face reputational financial and legal consequences if the do not follow through.” Outlining a procedure to follow through with the five-year commitment Tempur Sealy and Mattress Firm said in the court filing that the Tempur Sealy Board’s Audit Committee and an independent consulting firm will determine compliance annually Tempur Sealy said it would include a compliance statement its annual 10-K filed with the Securities and Exchange Commission The court document also said “competitors – who carefully monitor Mattress Firm’s floor – will surely flag non-compliance.” FTC: Tempur Sealy’s floor slot commitment at Mattress Firm is ‘worse’ for competition In its response to the commitment, the FTC said the proposed revision is “legally unenforceable, cannot be monitored and does not prevent Tempur from disadvantaging its rivals and harming consumers.” The agency continued saying the plan is “worse in many ways because it explicitly allows Tempur Sealy to judge its own compliance and permits Tempur Sealy to jettison the commitment at its whim.” The FTC said the commitment is “neither a binding contract with any supplier nor a binding settlement that can be enforced by the FTC or any court It remains an unenforceable promise Defendants could break at any time.” Citing its recent case against Kroger Cos.’ quest to merge with competing grocer Albertsons the FTC said courts have been “skeptical” of such promises a federal court ruled in early December that courts should be “skeptical of unenforceable promises especially those made during an antitrust investigation because ‘promise(s) can be broken at will.” The document outlines that the plan is not “contractually enforceable” by third parties and said Tempur Sealy and Mattress Firm acknowledged as much during the case’s closing arguments last month the FTC said “Tempur Sealy refused to even entertain agreements with suppliers containing slot commitments despite including slot commitments in many of its own contracts.” Specifically, the document said Tempur Sealy refused to negotiate slot commitment with Bedding the FTC went on to say the five-year commitment is designed to “avoid judicial or administrative enforcement” and said an administrative proceeding challenging the merits of the proposed acquisition under the Clayton Act remains pending The commission also argues that the revised slot commitment is deficient because of a “minimum performance criteria” that offers Tempur Sealy an exception to “gut the entire commitment” if third-party mattresses don’t meet a “nebulous” performance standards Tempur Sealy must follow the slot commitment only if it decides there are enough premium mattresses available that meet its own definition of ‘Minimum Performance Criteria’,” the filing outlines It goes on to say Tempur Sealy’s new commitment offers “lip service” to monitoring and that the company will monitor its own compliance will obstruct third-party monitoring because percentage of slots reserved for third parties is based on companywide slots and not store-by-store slots makes it impossible for someone walking into a Mattress Firm store to assess whether the defendants are compliant the only evidence of Defendants’ compliance will be in an internal Excel spreadsheet purportedly maintained by Mattress Firm the mechanics of which require a five-page declaration from Mattress Firm’s chief merchandising officer to explain,” the FTC response continued The five-year term of the commitment also raised concern for the FTC The term is “far shorter than the typical duration of behavioral remedies imposed in FTC consent agreements which can extend as long as 20 years,” the document said “Given the hundreds of millions in profit Tempur Sealy could gain by fully or partially foreclosing rivals it will have every incentive to terminate the slot commitments after the five-year term is up.” does not prevent Tempur Sealy from “disadvantaging” other mattress brands sold via Mattress Firm “Defendants will control many means to ’tilt the floor’ in their favor inventory levels and advertising placement Tempur Sealy will also have the incentive to ‘bargain’ with its rivals for spots on the floor – essentially gouging them for higher margins in exchange for slots.” by not guaranteeing slots to specific mattress brands there is no stopgap preventing Tempur Sealy from “ousting its chief rivals and assigning slots to third parties that pose less of a threat the new commitment will do nothing to ‘tie its hands’,” the FTC said The FTC response also said “Tempur Sealy has repeatedly acknowledged it could kick out Serta Simmons post-acquisition and Tempur Sealy’s CEO remarked ‘SSB is committing suicide’ because the company was not ‘supportive’ of the Proposed Acquisition.” Sealy has two Cocoon mattresses: the Chill Memory Foam and the Chill Hybrid. They're basically the same bed but with different support systems. In this review, I'll focus on the hybrid version of the mattress. I'll discuss everything you should know about it, including who it's best for. Watch me review the Cocoon Chill mattress in this video review. First impressions of the Cocoon Chill Hybrid Jonathan Gomez/CNETThe Cocoon Chill Hybrid mattress ships the same way as your average online bed inside a tall cardboard box compressed tightly in plastic ripped off all the packaging and watched as the bed expanded.  the coils in the Cocoon Chill Hybrid caused the bed to expand out of its packaging quickly but I still gave the comfort foams on top a night to fully inflate I took this as a sign that it was ready to be tested I noticed that the bed was slower to respond on top but the springs on the bottom made it a bit more responsive than the all-foam version I immediately felt the sensation of memory foam working its magic This mattress has a responsive memory foam feel The memory foam on top of the bed conforms to the shape of your body nicely but the coils below offer a nice amount of responsiveness This makes switching sleeping positions on this bed relatively easy you're getting a generally responsive bed with a slight memory foam feel on top -- sometimes Jonathan Gomez/CNETHow firm is the Cocoon Chill Hybrid mattress? The hybrid version of this mattress has an accommodating firmness profile that'll work for just about anyone It should work fine for all sleeping styles but is most suitable for side and combination sleepers If you're a back or stomach sleeper seeking a firmer mattress the foam version of the Cocoon Chill might work slightly better for you This is a hybrid mattress that's 12 inches thick and comprised of the following layers: there's a thin layer of base foam to provide a foundation for all the other layers to rest on which act as the bed's main support system.  Above the support layer is a more responsive foam that acts as a transition layer for the mattress there's a layer of gel memory foam to provide the bed's main comfort layer Wrapping the mattress up is a cooling cover It features a phase change material to help actively cool you down at night while you sleep This refers to how well a bed absorbs cross-mattress movement and the Cocoon Chill Hybrid performs well in this category The foam version of this bed might absorb a bit more motion than the hybrid but both should deaden lots of cross-mattress movement Memory foam beds usually have the best motion isolation as memory foam itself doesn't reverberate as much motion as latex foam or even neutral foam Light sleepers shouldn't have many issues with this mattress The edge support is great on the Chill Hybrid Since the coils are reinforced along the edges of this mattress you should find the perimeter of the bed to be quite sturdy under pressure If you or your partner happen to sleep close to the edges of the mattress you can rest easy knowing you won't be falling off the bed anytime soon Jonathan Gomez/CNETTemperatureThis is obviously one of the main advantages of this mattress -- I mean it's called the Cocoon Chill for a reason This bed will help actively cool you down on a nightly basis The bed itself is noticeably cool to the touch it's hard to determine if you'll still feel much of that cooling effect that phase change cover will help keep you sleeping at least temperature neutral and I can't see this mattress warming up on you if you're an especially hot sleeper the Chill Hybrid will be the slightly more durable support option Since the Chill Memory Foam is an all-foam mattress it's not going to be as durable as the hybrid version but it should still last you for several years to come Dense support foams just aren't as durable as steel coils so durability is definitely something to keep in mind with this bed you do have some support options to consider with this mattress and either should last the average sleeper quite a while Depending on the support option you choose the Cocoon Chill could work for a variety of sleepers out there Here's who I think will benefit the most from sleeping on this bed Jonathan Gomez/CNETBody typeThe Cocoon Chill Hybrid will be supportive enough to handle all body types the Cocoon Chill Memory Foam will work best for medium to petite-sized people.  You could get by on the Chill Memory Foam if you're a bit bigger but just know that all-foam beds will likely degrade underneath you over time slightly faster than a hybrid bed Pocketed coils are designed to support a substantial amount of weight on a nightly basis making them the superior alternative when it comes to long-term support This pricing reflects what's currently offered for the hybrid version of the bed Keep in mind that you could save a couple hundred bucks by going with the all-foam version For a memory foam mattress with some active cooling features that's a great value either way you cut it usually offers nice discounts on the Cocoon Chill you'll be paying closer to the $900 range for a queen size The brand even likes to bundle in free or discounted sleep accessories with every mattress purchase which is nice if you're looking for more of a sleep setup Sealy backs the Cocoon Chill with above-average policies you get a 100-night trial period to try it at home risk-free Just be sure to use the right foundation for the bed The final verdictIf you're a hot sleeper who's looking for a memory foam mattress that's right around a medium and you'd like a supportive hybrid bed with some active cooling qualities Jonathan Gomez/CNETYou might like the Cocoon Chill Hybrid mattress if: You might not like the Cocoon Chill Hybrid bed if: The Cocoon Chill Hybrid sits right around a medium on our scale This makes the bed most suitable for combination sleepers who rotate around at night but it could also work for all sleep styles It's not the most pressure-relieving bed for side sleeping or the first option for back and stomach sleeping but it could work fine for both of those preferences The Cocoon Chill beds ship in a box for free The unboxing process is the same as any other bed-in-a-box option online rip off all the plastic and then the mattress will expand rapidly before your eyes it might take longer to fully inflate than the Chill Hybrid but both should be ready to sleep on after a full night of expansion A Cocoon Chill bed should last you for the next seven to 10 years Since hybrid beds are typically more durable than all-foam ones you may be getting more from the Chill Hybrid long term both support options should last you for several years Tempur Sealy cleared to acquire Mattress Firm and a number of other participants in the mattress industry “We are pleased that the United States District Court for the Southern District of Texas has declined to enjoin our acquisition of Mattress Firm,” Tempur Sealy said in a statement “Despite the FTC’s ongoing efforts to block the transaction we will make every Derived from the Latin words somn meaning sleep and omni meaning all Somnigroup was chose to reflect “our position as a global provider of sleep solutions with an integrated omni-channel strategy,” the company said The Somnigroup portfolio includes Tempur , Dreams and Other brands in the group include Tempur-Pedic as well as the company’s private label and OEM products “We are committed to providing breakthrough sleep solutions that meet the diverse sleep needs of consumers all over the world while delivering long-term growth for our shareholders,” Thompson said “We look forward to continuing to improve people’s lives through better sleep for the next 100 years and beyond.” New Posturepedic unveiled: Sealy’s brand gets 35 new models Sealy’s Posturepedic Pro Hybrid is one of 35 new models being launched for the line LAS VEGAS — ‘s collection has undergone a total reinvention offering a range of innerspring and hybrid models with a complete retail step-up program First introduced in 1950, the Posturepedic brand marks its 75th anniversary this year. This introduction is the first time Sealy has introduced a new family of Posturepedic beds since 2021 Featuring 35 models being introduced at the winter the new Posturepedic is segmented in four different levels with prices ranging from $799 to $2,399 Sealy Posturepedic Pro and Sealy Posturepedic Elite — span opening pricing through premium price points At the core of the collection’s design is Sealy’s proprietary designed exclusively in house by Sealy’s product development and research teams The coils are designed to adapt to a sleeper’s unique size and shape to promote natural alignment “We expect this to be the largest introduction for Tempur Sealy,” said Josh Fenner adding that the new collection will replace the previous models introduced in 2021 the mattresses feature an extra set of coils arranged for targeted support with Sealy’s MaxSupport Technology a DuraFlex Coil Edge designed with smaller diameter encased coils for to prevent sagging support and Advanced SealyChill long-lasting support they need for a great night’s sleep.” The new Posturepeidc lineup is being shown in the Sealy Las Vegas showroom located at C-1496 The mattress maker and retail companies say being forced to litigate both a federal court case and an FTC challenge would cause undue financial hardship Tempur Sealy sees its acquisition of Mattress Firm as integral to its long-term growth and preventing the deal from moving forward would cause both companies substantial financial harm The FTC sued Tempur Sealy in July to block the deal seeking to block the agency’s administrative proceedings that could derail the acquisition Tempur Sealy’s most recently filed complaint against the FTC asks a judge to block the FTC challenge of the Mattress Firm merger through its own separate administrative proceeding in addition to a federal court proceeding a move that would effectively offer “the FTC two shots at us by using two different courts,” CEO Scott Thompson said during an earnings call Last month, Tempur Sealy said it successfully closed on a $1.6 billion term loan along with cash available and proceeds from other debt to fund the cash consideration for its acquisition of Mattress Firm But the FTC sees the potential union as a violation of antitrust law Mattress Firm and Tempur Sealy say the FTC’s ability to draft and resolve its own administrative charges — the outcome of which must be appealed to the same organization that first brought the complaint — is a conflict of interest the FTC said Mattress Firm “is the single most important retail channel for mattress brands It can drive massive volumes of sales through its unmatched consumer reach and mattress brands jostle to access its floor space Allowing Tempur Sealy to buy Mattress Firm would upend this competitive dynamic giving Tempur Sealy enormous sway over the fate of its rivals.” To assuage regulators’ concerns that the merger would inhibit competition in the business segment, Tempur Sealy in September agreed to divest about 175 stores to rival retailer Mattress Warehouse is contingent on closing the Mattress Firm deal Tempur Sealy’s third quarter results slightly beat top and bottom line consensus expectations Wedbush analysts led by Seth Basham said in a Thursday note Tempur Sealy narrowed its fiscal year guidance It now anticipates 2024 sales will be slightly lower than the prior year The analysts also noted that the company’s Q3’s gross margin of 46.2% was worse than the consensus forecast of 46.8% and below the firm’s 46.9% estimate “[Tempur Sealy] likely resorted to additional promotions to drive sales that were ineffective in this soft demand environment,” Wedbush wrote in its statement “[The company] resorted to more aggressive cost cutting to meet EPS to its proposed $4 billion merger with retailer Mattress Firm has agreed to sell its Sleep Outfitters subsidiary and a portion of Mattress Firm’s footprint Subject to approval of the Tempur Sealy-Mattress Firm deal, MW SO Holdings Company, also known as Mattress Warehouse, will acquire 73 Mattress Firm locations plus Sleep Outfitters’ 103 specialty mattress retail locations and seven distribution centers Hearings on the FTC’s challenge are scheduled to begin Nov Tempur Sealy expects them to wrap up “in the coming months which would allow the deal to close in late 2024 or early 2025,” as expected According to a statement from Tempur Sealy CEO Scott Thompson this move comes out of discussions with regulators and is part of the company’s effort to move its acquisition of Mattress Firm forward it’s not clear how much its deal with Mattress Warehouse would alter regulators’ argument that a Tempur Sealy-Mattress Firm merger would bestow “enormous power at multiple parts of the mattress supply chain” to the combined company and enable it “to suppress competition and raise prices for mattresses for millions of consumers.” As of July, according to documents filed in the FTC’s case, Mattress Firm ran about 2,300 brick-and-mortar stores, and Tempur Sealy owned about 99 Tempur-Pedic and 109 Sleep Outfitters stores Tempur Sealy expects to run more than 2,800 stores globally and derive half of its North American sales from Mattress Firm Mattress Warehouse, with more than 320 stores, states that it is the second-largest retailer in the space Along with the brick-and-mortar divestiture plan Tempur Sealy on Monday announced a proposed senior secured term loan in an aggregate principal amount of up to $1.6 billion cash available and other debt would fund the proposed Mattress Firm acquisition S&P Ratings analysts gave the proposed debt a preliminary BBB- rating They also put “both tranches of [Tempur Sealy’s] unsecured notes on CreditWatch with negative implications reflecting that we may lower our rating on this debt up to one notch to 'BB-' from 'BB' and revise the recovery rating to '5' from '3' if the transaction closes The potential lower ratings on the notes reflect the substantial increase in senior secured debt under this transaction revising recovery outcomes for unsecured debtholders.” Tempur Sealy to take ownership of Mattress Firm this week Tempur Sealy said today it will close the deal Wednesday in a release issued today Judge Charles Eskridge also granted Tempur Sealy and Mattress Firm its shorter timeframe for the temporary restraining order, shaving four hours of the original order.  The closing will culminate 21 months since the acquisition was announced in May 2023 and seven months since the FTC filed a lawsuit to block the deal “We are excited to move forward with our combination with Mattress Firm which creates the leading vertically integrated global bedding company and which we strongly believe will bring significant benefits to all of our stakeholders,” said Scott Thompson The company also said it will host a conference call Thursday See also: Court docs reveal Tempur Sealy plan to ‘block’ acquisition of Mattress Firm, Tempur International’s CEO discussed post-closing supply agreements slot commitments and building synergies with the 2,300-unit specialty sleep retailer ruling against the FTC on nearly every issue of its case During the nearly 45-minute call, called the acquisition a “significant milestone” that created the “world’s largest bedding company” including design He also touted the company’s ownership of “the most highly recognized brands” in the industry Thompson emphasized that Mattress Firm and Dreams will continue to operate as multi-branded retailers “Tempur Sealy will continue to serve third-party retailers Dreams and Tempur Sealy’s direct-to-consumer business,” he said Addressing the post-closing supply agreements with other mattress brands Thompson said the company sought agreements from seven manufacturers Thompson said the agreements assumed contracts the manufacturers had in place with Mattress Firm while extending the “termination for convenience” clause to a year to “allow us to get comfortable with each other.” He went on to say that currently the company does not have a post-closing agreement in place with Bedding the industry’s second largest mattress maker but “I’m sure we’ll be talking to them.” Regarding Mattress Firm’s merchandising mix moving forward – a concern voiced by a number of executives in retail and manufacturing circles – Thompson dug deeper into the company’s “” that had been entered into the court record Sealy – hold a 43% balance of share on Mattress Firm’s showroom floors “The ones on the floor will be the ones that perform and make sense for Somnigroup International (Tempur Sealy’s new name beginning Feb the balance of share on the retail floor will be determined by the consumer “To the extent that brands advertise and innovate that’s how the balance of share will shift,” he told analysts on the call “Do I think our products will increase in balance of share We may find that
