Prasek pitched four innings of relief allowing just one hit and one run
Game 3 couldn’t have been more different as the Leps won a pitchers’ duel 2-0

La Grange’s Braxton Dahse threw 5.2 innings of two-hit
scoreless ball before Prasek closed out the game with 1.1 innings of scoreless relief

The decision rejects the FTC’s case in most respects and illustrates the government’s difficulty in winning litigated vertical merger challenges.
The court rejected the FTC’s “premium” mattress market, defined by a specific price point, given evidence that mattresses are priced on a spectrum and competition occurs across that spectrum.
Although the court found the merged firm would have the incentive and ability to foreclose competitors, it concluded the deal would not substantially lessen competition based on the limited degree of potential foreclosure and that the parties’ remedies eliminated any lingering concerns.
The court broadly disagreed and denied the FTC’s motion on several grounds, finding at a threshold level that the FTC failed to prove its affirmative case that the transaction would substantially lessen competition.
Although the court found that the FTC proved defendants would have the ability and incentive to foreclose rivals (under both the independent ability and incentive test and the Brown Shoe vertical merger factors), it nonetheless found that any such foreclosure would not be substantial or cause anticompetitive effects for three central reasons.
Notably, the court said that the appropriate place in merger analysis to consider defendants’ remedies was in the rebuttal phase (rather than require the FTC to prove its prima facie case considering the remedies), and that the proper standard was whether the remedies prevent the merger from substantially lessening competition (rather than require remedies to eliminate all competitive harm). Different courts have reached different conclusions on these issues.

District Court for the Southern District of Texas in defeating the Federal Trade Commission’s (FTC) lawsuit seeking a preliminary injunction against Tempur Sealy’s $5 billion acquisition of Mattress Firm Group (Mattress Firm)
Contrary to the FTC’s allegations that “millions of Americans would likely face higher prices
and fewer choices,” the court found that the acquisition is “either neutral or procompetitive” and “in the public interest.”
The Commission voted unanimously to challenge the acquisition in summer 2024
alleging that the acquisition would combine the largest mattress supplier in the world with the largest mattress retailer in the country
in violation of Section 7 of the Clayton Act and Section 5 of the FTC Act
The FTC argued that Tempur Sealy would be able to foreclose rival manufacturers from selling at Mattress Firm
or otherwise hinder rivals’ ability to sell through the retailer
and this would substantially lessen competition
The FTC also alleged that the merger would lessen innovation and cause other competitive harms
trial began on November 12 and ended on November 25
with Cleary partner and lead trial counsel Ryan Shores delivering closing argument for the defendants on December 16
District Judge Charles Eskridge denied the FTC’s motion for a preliminary injunction
issued on the final day of Lina Khan’s tenure at the FTC
is a blow to the Biden Administration’s efforts to push back on vertical mergers
the court found that the FTC failed to establish a relevant geographic market
a relevant product market for “premium” mattresses retailing for at least $2,000
and that even if the FTC had established a relevant antitrust market
“any potential foreclosure won’t lead to anticompetitive effects in this very competitive market.” The court’s determinations regarding the market were informed in large part by testimony from the cross examination of a witness from Sleep Number
conducted by Cleary partner Blair Matthews
demonstrating that $2,000 was not a widely accepted cutoff for premium mattresses and that there are many channels for mattress retail
The court also found that even if there were “lingering concerns,” Tempur Sealy’s commitments to divest stores to Mattress Warehouse and to preserve a large portion of Mattress Firm’s floor for rival manufacturers were “sufficient to prevent the merger from inflicting any substantial harm to competition.”
A cornerstone of the FTC’s case was testimony from Serta Simmons that the transaction was an “existential threat.” On cross examination
Cleary partner Heather Nyong’o elicited testimony demonstrating that those claims contradicted statements Serta Simmons had made to a bankruptcy court predicting sales growth at Mattress Firm after the deal was announced
the court concluded that Serta Simmons’ testimony about supposed harm “came with no credibility whatsoever and cannot stand as factual support for any contention by the FTC in this action.” The court also accepted the testimony by Tempur Sealy’s CEO that Serta Simmons had been unreasonable in the demands it attached to a potential post-closing supply agreement for Mattress Firm
The FTC also put forth an economic model attempting to demonstrate that the transaction would result in total consumer harm of $280 million
On cross examination by Cleary partner Dan Culley
the FTC’s expert was forced to acknowledge that his methodology was simply to “put the numbers in the model and then just see what comes out” and that he could not otherwise explain why downward pricing pressure from elimination of double marginalization—a standard benefit of vertical mergers such as this one—did not predominate
The court found that the expert’s testimony “doesn’t exactly inspire confidence that he accounted for the market and commercial realities of the situation.” Instead
the court credited the defendants’ expert (also examined by Dan) who explained that once those realities were accounted for
the FTC’s own model showed that rival manufacturers would have greater sales through Mattress Firm post-transaction and consumer welfare would increase by nearly $900 million
The FTC declined to seek an injunction pending appeal
allowing the acquisition to close on February 5

The activity at the FTC precluded Tempur Sealy executives from seeing details like Mattress Firm’s store- or brand-level performance
but “there are some stores that need to be refreshed
to make sure that we provide our customers and our employees a working environment that is fresh
Mattress Firm’s bankruptcy a few years ago, when it shrank its footprint, means the retailer is stronger now, and has taken share at a time when the category has been challenged, he also said.
“If you look at the market, some of the retail competitors of Mattress Firm, some large, some small ... have not made it through this downturn,” he said. “That also should be a positive for Mattress Firm going forward as the market normalizes.”
In pro forma terms, in 2024, the company generated about $8 billion in sales, net of intercompany sales, with 85% in North America and 15% elsewhere, per its Wednesday release. About 65% of sales were through direct-to-consumer channels and 35% from third-party retailers.

The nation’s largest mattress specialty retailer has a new owner
Tempur Sealy International has completed its acquisition of Mattress Firm Group Inc
The total purchase price was approximately $5 billion
which is about $1 billion more then when the deal was first announced
The move follows the ruling from the United States District Court for the Southern District of Texas denying the motion by the Federal Trade Commission to block the deal.
Tempur Sealy said it will change its name to Somnigroup International Inc.
at which time its common stock will trade on the NYSE under ticker symbol "SGI"
The name Somnigroup is derived from the Latin somn meaning sleep
and "group" to represent the company's omni-channel strategy
according to Tempur Sealy CEO and chairman Scott Thompson
Dreams and Tempur Sealy will operate as decentralized business units under Somnigroup International
Mattress Firm and Dreams will continue to operate as multi-branded retailers
will continue to serve third-party retailers as well as Mattress Firm
Dreams and Tempur Sealy direct-to-consumer channels
the world’s largest mattress supplier and manufacturer.
Tempur Sealy said it expects to complete its previously announced divestiture of 73 Mattress Firm stores and the company's Sleep Outfitters subsidiary
which includes 103 specialty mattress retail locations and seven distribution centers
to MW SO Holdings Company ("Mattress Warehouse") in the second quarter of 2025.

(Atlanta News First) - A metro Atlanta woman has filed a lawsuit against the world’s largest mattress manufacturer after her fiance died inside one of the company’s trailers
Jasmine Jennings' suit accuses Tempur Sealy International and several affiliated groups of negligence in the death of 27-year-old Joshua Armour
She is represented by the Atlanta-based Sinton Scott Minock & Kerew Law Firm and the Kenneth S
who was suffering from a mental health crisis
he called his brother and said he was in a dark
Armour’s family tracked him to a Sealy mattress facility in Conyers off Industrial Boulevard
But a representative allegedly refused to let them in and wouldn’t search the property
It’s unclear what role law enforcement played in searching for Armour
Armour’s phone battery died and his family lost contact with him
Security video showed an unknown person getting into the facility
so the company told its employees to lock the doors to all its mattress storage trailers — one of which Armour was in
He was found dead inside the trailer six days later during what the family’s attorneys call a routine check
Attorney Kate Reddy said the tragedy could have been avoided
“This is a case about how one corporation’s choices have led to an entirely preventable tragedy that has left Joshua’s family torn apart,” she said
“They had every opportunity to save Joshua’s life
It’s about their choice to ignore the pleas of their family.”

It does not come as a bed in a box but with free in-home set up and delivery which is a step above what most online brands offer
This in-home set up and delivery is also referred to in the mattress world as white glove delivery
Once the delivery team unboxes the mattress in your room
you're free to start sleeping on it immediately
I'd recommend waiting until the delivery members are out of the house before taking a quick nap
The blue and gray cover was the same color as my alma mater
I was about ready to get my old football jersey out to relive the "glory days," but then I remembered I was at work and was supposed to be testing this bed
So I laid on the mattress and felt quite supported on the bed
It was more responsive than I thought it would be and it was not as firm as I had hoped for

While the cover is made with cool to the touch fibers, we would say the temperature on this mattress is neutral. It is not going to cool you down but it certainly won't warm you up while you're sleeping either. If you are looking for an ultra cooling option, I recommend looking at our best cooling mattress list
Since the mattress is made with individually wrapped coils for the support base
We often find individually wrapped coils as a support base help the longevity of the mattress over just a foam support base
The reinforced perimeter will help as well
The Sealy Posturepedic Hybrid mattress offers a zoned-support design, but it's not as prominent and noticeable as some other beds we have tested
If you don't need an enhanced zoned-support design
then here's who will benefit the most from sleeping on this mattress

This is a combination sleeper's haven since the bed is responsive enough for one to change positions throughout the night
Most body types will be supported by this mattress. Heavier individuals may find this bed softer which means it will be more ideal for heavy side sleepers. If you are heavier and don't prefer side sleeping, I'd recommend looking into the Helix Plus Luxe or the Big Fig mattress
Sealy's retail price is still cheaper than both of those beds' discounted prices
I would choose the Sealy Posturepedic Hybrid mattress as you are getting a similar feel
You get a 90-night trial period to try it at home risk-free
If you happen not to like it within that time frame

These are both hybrid beds with a similar design
Both beds have an airy memory foam feel and provide pressure relief and support for combination sleepers
The one advantage the Layla Hybrid has is it has a flippable design

If you are looking for more support within the mattress
I would recommend the Sealy Posturepedic Hybrid mattress
While this mattress doesn't have too many special features
the feel and firmness of the Sealy Posturepedic will be universally enjoyed
I do believe this is a great option for someone looking for an affordable mattress that has some zoned-support design and reinforced edges

Groppo was raised in a family with deep ties to UK — her father is a professor at the Stanley and Karen Pigman College of Engineering
Groppo knew early on that UK would play a key role in shaping her future

An alumna of the merchandising, apparel and textiles (MAT) undergraduate program and the graduate program in the Department of Retailing and Tourism Management (RTM) at the Martin-Gatton College of Agriculture, Food and Environment (CAFE)
Groppo says that UK gave her the right balance of information and inspiration to be successful in her current career at Tempur Sealy
Groppo completed two merchandise internships with the Walt Disney Company
an experience that reinforced her belief that Disney is “more than a theme park;” it is a “brand powerhouse.” From there
Groppo’s inspiration for understanding more about the mechanics of managing a successful brand grew
helped launch her into a career in brand management
Groppo is an associate brand manager of Stearns & Foster at Tempur Sealy International
Much of Groppo’s hands-on experience at UK occurred in the Textile Testing Lab. The lab, in the Department of Retailing and Tourism Management at Martin-Gatton CAFE

Groppo oversaw quality control measures and conducted product development tests on apparel
institutional interior and technical textiles
she conducted physical and chemical testing on textiles for organizations including Cotton Inc.
the Association for Linen Management and General Electric
Groppo conducted a project with General Electric in Louisville and analyzed optimization of heat pump dryer performance to obtain her Lean Six Sigma Green Belt certification
Her research contributed to the development of a new combination washer and dryer manufactured by GE
With the hands-on experience she gained inside and outside of the lab
Groppo credits these unique opportunities to UK professors like Easter
Easter worked with me through my entire education
and their classes gave me the brand management experience I was looking for,” Groppo said

After graduating from UK with her master’s degree in 2019
Groppo started her professional career as a brand analyst with Tempur

“You must wear many different hats as a brand manager,” Groppo said

The coursework was very relevant to developing the skills that I needed and still use today.”
Groppo believes her role consists of four key areas: business management
Groppo says within these areas brand leaders are striving to better understand their competitors
Groppo collaborated with cross-functional teams to launch a new mattress at Costco under the Kirkland Signature private label
there’s never a “one-size-fits-all” approach to brand management — it’s all about being creative and understanding the customers
“There’s not a cookie-cutter plan for how to create a strong brand,” Groppo said

today I’m putting them up against each other to help you find the best mattress for you
I’ll be comparing the Stearns & Foster Lux Estate Medium Pillow Top mattress to the Sealy Posturepedic mattress in the Soft model
as well as information like price and materials

but there are some key differences that set them apart
Let’s take a closer look at the similarities and differences between the Stearns & Foster Lux Estate and the Sealy Posturepedic
Now let’s go over the firmness and feel of the Stearns & Foster Lux Estate and Sealy Posturepedic mattresses
where 1 is the softest and 10 is the firmest
We use 6.5 as the standard for medium-firm
we have several colleagues lay on the mattress in different positions
Then we average together the scores for a final firmness rating
Our testers rated the Stearns & Foster Lux Estate as a 6.5 out of 10
Keep in mind we tested the Medium Pillow Top version of the Stearns & Foster Lux Estate
so the firmness will vary depending on the model you choose
We also rated the Sealy Posturepedic as a 6.5 out of 10
light contouring but still kept you on top of the bed and supported
can play a large role in how a mattress will work for you
Every sleeping position has different needs from their mattress
such as different levels of pressure relief or support
And people of different weights will experience mattresses differently
while heavier people may sink into the bed a lot.
Let’s go over how different sleeping positions and body types might feel on each of these beds
Back — The Stearns & Foster Lux Estate is a fantastic option for back sleepers
offering an excellent mix of pressure relief and support
I felt very comfortable on my back on the Medium Pillow Top model we tested
but I think back sleepers could likely do well on most of the different Lux Estate models
Side — The Stearns & Foster Lux Estate is also a great choice for side sleepers
as its upper layers offer tons of pressure relief for the shoulder and hip
so you could opt for the Soft Pillow Top model instead of the Medium one we tested
if you were looking for even more pressure relief.
Stomach — The Stearns & Foster Lux Estate can also work really well for stomach sleepers
it’s firm enough to keep most stomach sleepers in a neutral position — plus you could always choose the Firm version if you wanted
I was really impressed with how little my hips were sinking into this mattress
which means my lower back stayed in a more neutral position
Body Weight — I think the Stearns & Foster Lux Estate can work for people of all body types
and heavyweight sleepers should all feel comfortable and well-supported on this very sturdy mattress
Back — The Posturepedic is a really solid option for back sleepers
It offers nice support and we found the foam layers filled in the lumbar region nicely
the medium-firm feel is the right balance of comfort and support that back sleepers generally need
Side — Side sleepers should feel good on the Sealy Posturepedic
I will note that I personally felt some pressure around my shoulder on this bed while side sleeping
so those with sensitive shoulders may not love it
Stomach — The Posturepedic could work for some lightweight to average weight stomach sleepers
The Firm model could be an even better option for some stomach sleepers since it will keep their hips more lifted and in line with their spine
Body Weight — Like the Stearns & Foster
I think the Sealy Posturepedic can work for people of all body types
It’s no secret that mattresses are a big purchase — even the cheapest mattresses are at least a few hundred dollars
So price is naturally an important factor to consider as you are shopping around

Tencel is a lyocell fabric made from eucalyptus
which is known for being more eco-friendly than traditional viscoses
as well as for being moisture-wicking and cooling
Comfort Layer: Under the cover is a section of TEMPUR-Indulge foam
a special Tempur-Pedic foam created specifically for Stearns & Foster (Tempur-Pedic is under the same parent company
Support Layer: The main support of the Stearns & Foster Lux Estate is a section of individually wrapped coils
There are also additional coils used to reinforce the edge of the bed for sturdy edge support

you may still have to interact with the customer service team if you have questions or issues that arise in your shopping process
We rate customer service on a scale of Poor
Great: I decided to test out Stearns & Foster’s customer service by using the chat box feature on their website
I was initially met with a chatbot that provided some helpful answers
but didn’t provide more customized answers to specific questions
I wasn’t given the option to speak to a live agent when I said the chatbot’s answer wasn’t satisfactory
I still think they have great customer service because Stearns & Foster offers the option for email and phone communication
Great: I had a similar experience with Sealy as Stearns & Foster
I tested out their chat feature on the website
this chatbot was actually less helpful than the Stearns & Foster one
and it also did not give me the option to speak with a real person
I still wanted to give Sealy a “great” rating because they do offer phone and email support

Tempur Sealy makes 5-year commitment to others’ premium beds at Mattress Firm
HOUSTON – In response to a judge’s suggestion that its slot commitment for third-party vendors was lower than understood, Tempur Sealy International and Mattress Firm have filed a revised plan that promises the sleep retailer will maintain its current percentage of “premium” mattresses from other producers for five years
Tempur Sealy and Mattress Firm said they will rectify the perceived discrepancy by allowing third-party mattresses to be placed in at least 43% of premium slots (on average) across all open Mattress Firm stores
the commitment had been to reserve 28% of the floor for other mattress suppliers
The company defines premium mattresses as those that retail for $1,500 or more
The filing said the slot commitment is “consistent with Tempur Sealy’s plan and incentive to keep Mattress firm multi-branded.”
Despite Tempur Sealy’s and Mattress Firm’s new commitment to the five-year slot plan as outlined in the filing
the companies said the FTC had not proven that the merger would lessen competition in a “properly defined relevant market.”
“Defendants are committed to resolving this Court’s concerns so that the merger
which will benefit both competition and consumers
may proceed,” Tempur Sealy said in its filing
Tempur Sealy and Mattress Firm said they didn’t believe additional commitments were needed to allow the acquisition to proceed and said the FTC had “failed at every step to meet its burden.”
“No commitments are required to make this merger procompetitive
and (Tempur Sealy’s and Mattress Firm’s) commitments need not preserve the current slots occupied by third-party premium suppliers
defendants are committing to the court to do just that.”
The filing said the average 43% is about the same percentage Mattress Firm currently has in its stores for other mattresses selling at $1,500 or more
The judge has not yet ruled in the case between the FTC and Tempur Sealy
Mattress Firm fire back: FTC’s claims are ‘quibbles’
The bedding maker and the retailer filed their reply to the FTC’s pushback to the slot plan proposed late December this week. This is the latest in the legal back-and-forth with the FTC and the companies in Tempur Sealy’s attempt to acquire Mattress Firm through a $4 billion deal
In their reply, Tempur Sealy and Mattress Firm reiterated the premise that they “have no plan or incentive to foreclose competitors.” That has been part of the foundation for the FTC’s decision to block the acquisition: that the deal would lessen competition and make mattresses more expensive for consumers
the companies said “commitments don’t need to be in executed contracts,” challenging the commission’s argument that said there was no way to enforce such a commitment
Firing back specifically at the FTC’s argument that the slot program doesn’t protect Serta Simmons Bedding “confirms this case seeks to protect a competitor
Tempur Sealy and Mattress Firm said the retailer has “every incentive to floor high-quality third-party products;” it otherwise risks losing sales to its many competitors
the companies argued that it is consistent with “this dynamic industry” and gives mattress competitors time “to boost other channels or open their own stores
just as Tempur Sealy did in two-years post breakup.”

The court document also said “competitors – who carefully monitor Mattress Firm’s floor – will surely flag non-compliance.”
FTC: Tempur Sealy’s floor slot commitment at Mattress Firm is ‘worse’ for competition
In its response to the commitment, the FTC said the proposed revision is “legally unenforceable, cannot be monitored and does not prevent Tempur Sealy from disadvantaging its rivals and harming consumers.” The agency continued
saying the plan is “worse in many ways because it explicitly allows Tempur Sealy to judge its own compliance and permits Tempur Sealy to jettison the commitment at its whim.”
The FTC said the commitment is “neither a binding contract with any supplier
nor a binding settlement that can be enforced by the FTC or any court
It remains an unenforceable promise Defendants could break at any time.”
Citing its recent case against Kroger Cos.’ quest to merge with competing grocer Albertsons
the FTC said courts have been “skeptical” of such promises
a federal court ruled in early December that courts should be “skeptical of unenforceable promises
especially those made during an antitrust investigation
because ‘promise(s) can be broken at will.”
The document outlines that the slot commitment plan is not “contractually enforceable” by third parties and said Tempur Sealy and Mattress Firm acknowledged as much during the case’s closing arguments last month
the FTC said “Tempur Sealy refused to even entertain agreements with suppliers containing slot commitments
despite including slot commitments in many of its own contracts.”
Specifically, the document said Tempur Sealy refused to negotiate slot commitment with Serta Simmons Bedding
the FTC went on to say the five-year commitment is designed to “avoid judicial or administrative enforcement” and said an administrative proceeding challenging the merits of the proposed acquisition under the Clayton Act remains pending
The commission also argues that the revised slot commitment is deficient because of a “minimum performance criteria” that offers Tempur Sealy an exception to “gut the entire commitment” if third-party mattresses don’t meet a “nebulous” performance standards
Tempur Sealy must follow the slot commitment only if it decides there are enough premium mattresses available that meet its own definition of ‘Minimum Performance Criteria’,” the filing outlines
It goes on to say Tempur Sealy’s new commitment offers “lip service” to monitoring and that the company will monitor its own compliance

“Given the hundreds of millions in profit Tempur Sealy could gain by fully or partially foreclosing rivals
it will have every incentive to terminate the slot commitments after the five-year term is up.”

but I still gave the comfort foams on top a night to fully inflate
I took this as a sign that it was ready to be tested
I noticed that the bed was slower to respond on top
but the springs on the bottom made it a bit more responsive than the all-foam version
I immediately felt the sensation of memory foam working its magic
This mattress has a responsive memory foam feel
The memory foam on top of the bed conforms to the shape of your body nicely
but the coils below offer a nice amount of responsiveness
This makes switching sleeping positions on this bed relatively easy
you're getting a generally responsive bed with a slight memory foam feel on top -- sometimes

the foam version of the Cocoon Chill might work slightly better for you
This is a hybrid mattress that's 12 inches thick and comprised of the following layers:
there's a thin layer of base foam to provide a foundation for all the other layers to rest on
which act as the bed's main support system.
Above the support layer is a more responsive foam that acts as a transition layer for the mattress
there's a layer of gel memory foam to provide the bed's main comfort layer
Wrapping the mattress up is a cooling cover
It features a phase change material to help actively cool you down at night while you sleep
This refers to how well a bed absorbs cross-mattress movement
and the Cocoon Chill Hybrid performs well in this category
The foam version of this bed might absorb a bit more motion than the hybrid
but both should deaden lots of cross-mattress movement
Memory foam beds usually have the best motion isolation
as memory foam itself doesn't reverberate as much motion as latex foam or even neutral foam
Light sleepers shouldn't have many issues with this mattress
The edge support is great on the Chill Hybrid
Since the coils are reinforced along the edges of this mattress
you should find the perimeter of the bed to be quite sturdy under pressure
If you or your partner happen to sleep close to the edges of the mattress
you can rest easy knowing you won't be falling off the bed anytime soon

it's called the Cocoon Chill for a reason
This bed will help actively cool you down on a nightly basis
The bed itself is noticeably cool to the touch
it's hard to determine if you'll still feel much of that cooling effect
that phase change cover will help keep you sleeping at least temperature neutral
and I can't see this mattress warming up on you if you're an especially hot sleeper
the Chill Hybrid will be the slightly more durable support option
Since the Chill Memory Foam is an all-foam mattress
it's not going to be as durable as the hybrid version
but it should still last you for several years to come
Dense support foams just aren't as durable as steel coils
so durability is definitely something to keep in mind with this bed
you do have some support options to consider with this mattress
and either should last the average sleeper quite a while
Depending on the support option you choose
the Cocoon Chill could work for a variety of sleepers out there
Here's who I think will benefit the most from sleeping on this bed

This pricing reflects what's currently offered for the hybrid version of the bed
Keep in mind that you could save a couple hundred bucks by going with the all-foam version
For a memory foam mattress with some active cooling features
that's a great value either way you cut it
usually offers nice discounts on the Cocoon Chill
you'll be paying closer to the $900 range for a queen size
The brand even likes to bundle in free or discounted sleep accessories with every mattress purchase
which is nice if you're looking for more of a sleep setup
Sealy backs the Cocoon Chill with above-average policies

Just be sure to use the right foundation for the bed

The unboxing process is the same as any other bed-in-a-box option online

“Despite the FTC’s ongoing efforts to block the transaction
we will make every effort to close it as soon as possible.”

a nearly $5 billion deal that closed earlier this month
The company’s common stock will now trade on the New York Stock Exchange under the ticker symbol SGI
The company announced the name change the same day it closed on the Mattress Firm acquisition
saying the Somnigroup name better reflected its omnichannel approach to the bedding business and its ownership of multiple brands
“Somnigroup is the world’s largest bedding company, with superior capabilities in design, manufacturing, distribution and retail while owning a portfolio of the most highly recognized brands in the industry,” said Scott Thompson, Somnigroup chairman and CEO, and interim CEO of Mattress Firm.

Wedbush analysts led by Seth Basham said in a Thursday note

Tempur Sealy, facing a Federal Trade Commission challenge to its proposed $4 billion merger with retailer Mattress Firm
has agreed to sell its Sleep Outfitters subsidiary and a portion of Mattress Firm’s footprint
Subject to approval of the Tempur Sealy-Mattress Firm deal, MW SO Holdings Company, also known as Mattress Warehouse, will acquire 73 Mattress Firm locations plus Sleep Outfitters’ 103 specialty mattress retail locations and seven distribution centers
Hearings on the FTC’s challenge are scheduled to begin Nov
Tempur Sealy expects them to wrap up “in the coming months
which would allow the deal to close in late 2024 or early 2025,” as expected
According to a statement from Tempur Sealy CEO Scott Thompson
this move comes out of discussions with regulators and is part of the company’s effort to move its acquisition of Mattress Firm forward
it’s not clear how much its deal with Mattress Warehouse would alter regulators’ argument that a Tempur Sealy-Mattress Firm merger would bestow “enormous power at multiple parts of the mattress supply chain” to the combined company and enable it “to suppress competition and raise prices for mattresses for millions of consumers.”
As of July, according to documents filed in the FTC’s case, Mattress Firm ran about 2,300 brick-and-mortar stores, and Tempur Sealy owned about 99 Tempur-Pedic and 109 Sleep Outfitters stores
Tempur Sealy expects to run more than 2,800 stores globally and derive half of its North American sales from Mattress Firm
Mattress Warehouse, with more than 320 stores, states that it is the second-largest retailer in the space
Along with the brick-and-mortar divestiture plan
Tempur Sealy on Monday announced a proposed senior secured term loan in an aggregate principal amount of up to $1.6 billion
cash available and other debt would fund the proposed Mattress Firm acquisition
S&P Ratings analysts gave the proposed debt a preliminary BBB- rating
They also put “both tranches of [Tempur Sealy’s] unsecured notes on CreditWatch with negative implications
reflecting that we may lower our rating on this debt up to one notch to 'BB-' from 'BB' and revise the recovery rating to '5' from '3' if the transaction closes
The potential lower ratings on the notes reflect the substantial increase in senior secured debt under this transaction
revising recovery outcomes for unsecured debtholders.”
Tempur Sealy to take ownership of Mattress Firm this week
Tempur Sealy said today it will close the deal Wednesday in a release issued today
Judge Charles Eskridge also granted Tempur Sealy and Mattress Firm its shorter timeframe for the temporary restraining order, shaving four hours of the original order.
The closing will culminate 21 months since the acquisition was announced in May 2023 and seven months since the FTC filed a lawsuit to block the deal

LEXINGTON, Ky. – In this morning’s conference call with analysts following the closing of its acquisition of Mattress Firm, Tempur Sealy International’s CEO discussed post-closing supply agreements
slot commitments and building synergies with the 2,300-unit specialty sleep retailer
ruling against the FTC on nearly every issue of its case
During the nearly 45-minute call, Scott Thompson
called the acquisition a “significant milestone” that created the “world’s largest bedding company” including design
He also touted the company’s ownership of “the most highly recognized brands” in the industry
Thompson emphasized that Mattress Firm and Dreams
will continue to operate as multi-branded retailers
“Tempur Sealy will continue to serve third-party retailers
Dreams and Tempur Sealy’s direct-to-consumer business,” he said
Addressing the post-closing supply agreements with other mattress brands
Thompson said the company sought agreements from seven manufacturers
Thompson said the agreements assumed contracts the manufacturers had in place with Mattress Firm while extending the “termination for convenience” clause to a year to “allow us to get comfortable with each other.”
He went on to say that currently the company does not have a post-closing agreement in place with Serta Simmons Bedding
the industry’s second largest mattress maker
but “I’m sure we’ll be talking to them.”
Regarding Mattress Firm’s merchandising mix moving forward – a concern voiced by a number of executives in retail and manufacturing circles – Thompson dug deeper into the company’s “slot commitment” that had been entered into the court record
Sealy – hold a 43% balance of share on Mattress Firm’s showroom floors
“The ones on the floor will be the ones that perform and make sense for Somnigroup International (Tempur Sealy’s new name beginning Feb
the balance of share on the retail floor will be determined by the consumer
“To the extent that brands advertise and innovate
that’s how the balance of share will shift,” he told analysts on the call
“Do I think our products will increase in balance of share
We may find that there are some products on the floor that don’t meet our standards
saying the average Mattress Firm store has 50 slots
Focusing on the luxury segment of beds as the FTC did in its case
Thompson said the average store has 30 slots for mattresses that retail at $1,500 or more
a dozen would be for other mattress brands
For mattresses that retail for less than $1,500
18 slots are open for Tempur Sealy or Mattress Firm brands
In aligning Mattress Firm’s floor with other mattress brands
Thompson said Tempur Sealy’s technical prowess and expertise will allow the company to negotiate with partners
we can tell you what any bed on the floor costs to make,” he said
“We will be able to build it up from cost and have the conversation with suppliers.”
Innovation will continue to drive the company’s growth
adding that having “distribution locked up” for new products will allow for more research and development
“In talking about investment in product that is more complex and more innovative as beds get more complicated
to know that we have a sister company with the distribution locked up
takes some of the volatility out of that and gives you better confidence in making those long-term investments,” Thompson said
“With this we’re more likely to make more significant investments in R&D and bring new product for all retailers
We might have been hesitant in doing that without committed distribution.”
As for the timing of the acquisition, about 21 months after it was first announced in May 2023
saying the deal is closing at a low point for the industry
“The industry has been much weaker than we thought,” he said
The downdraft has been deeper than we expected
and it has lasted longer than expected.”
He cited Mattress Firm’s performance in the down environment saying the company had performed better than expected
